Term of Subscription. The subscription term to the JAGGAER Applications shall be as set forth in the Order Form (the “Subscription Term”). Any renewal(s) of the Subscription Term shall be in accordance with terms set forth in the Order Form.

Term of Subscription. Subscriptions to the Software commence on the first day of the month of the Go-Live Date and continue for the Subscription Term specified in the applicable Order Form. Unless otherwise set forth in an Order Form, subscriptions shall automatically renew for additional periods of one year for the fees set forth in the applicable Order Form unless either party gives the other notice of non-renewal at least ninety (90) days prior to the end of the then-current Subscription Term. EWS reserves the right to increase Subscription fees in a reasonable manner by notifying Customer at least thirty (30) days prior to the expiration of a Subscription Term that is then in effect. Increases, if any, shall be no greater than the cumulative increases in the Consumer Price Index (CPI) since the beginning of the initial Subscription Term or the latest price increase effective date, whichever is later.
Term of Subscription. Fee The initial subscription term for each Service shall be as set forth on Supplement (the "Initial Term") attached hereto and made part hereof. For the Services provided by MCM, Customer agrees to pay MCM the subscription fees indicated on the relevant Supplement. Fees charged upon the renewal of any subscription shall be those set forth on MCM's then current price lists. All subscription fees shall be paid (monthly) [quarterly] in advance on the commencement of the subscription term and thereafter on the first calendar [month] [quarter]. Customer shall also pay in addition to any subscription fee, any tax, however characterized, arising out of this subscription other than taxes based on the net income of MCM.

The term of the Subscription to use the Services and any renewal(s) periods are collectively defined as the “Subscription Term.” This MSA commences on the date your Order Form is accepted by the Company and continues until all Subscription Terms have expired or been terminated. Except as otherwise specified in the applicable Order Form, all Subscriptions shall automatically renew for additional one-year periods, unless a Party gives the other notice of non-renewal at least ninety (90) days before the end of the relevant Subscription term. The fees for Subscriptions automatically renewed are subject to increase at a rate not to exceed 5% over the prior year.
Term of Subscription. Except as a result of any Follow-on Transaction or any agreement, arrangement, undertaking or understanding to which the Corporation is not a party and of which it has no knowledge, and provided that the Subscriber is not in breach of any of its representations, warranties, covenants or certifications under this Subscription Agreement which would prevent the renunciation of Qualifying Expenses to the Subscriber or cause the Flow-Through Shares to be “prescribed shares” (including, without limitation, the Subscriber’s representations in Section 5 of this Schedule A), the Flow-Through Shares will be upon issue “flow-through shares” as defined in subsection 66(15) of the Tax Act, and, accordingly, the Corporation agrees to: (a) incur (or be deemed to incur) Qualifying Expenses in an amount equal to the Commitment Amount during the Expenditure Period; and (b) renounce Qualifying Expenses equal to the Commitment Amount to the Subscriber with an effective date no later than December 31, 2023.
Term of Subscription. Each subscription is for the term you registered for pursuant to the Purchase Documentation (for example, a monthly subscription or an annual subscription). Your subscription(s) will automatically renew for additional periods equal to the original subscription term unless your subscription has been cancelled at least three (3) business days prior to the end of your then-current subscription term in accordance with the provisions and requirements set forth in Section 8 immediately below. When offered by us, certain Services may allow for you to add features, additional Services, or register to upgrade subscriptions for Services. If you choose to upgrade your Services subscription during your subscription term, any increase in subscription charges associated with such upgrade will be prorated over the remaining period of your then current subscription term and will be charged and due and payable upon implementation of such upgrade. Upon renewal of your subscription term, your subscription fees will reflect any such upgrades.

Unless otherwise set forth in an Order Form, upon the expiration of the Subscription Term, the Subscription Term to the SciQuest Applications shall automatically renew for additional one (1) year periods, unless either party provides written notice to the other (written notice to SciQuest shall be provided either to XX@xxxxxxxx.xxx or SciQuest’s address set forth below, attention: “SciQuest Finance Department) of its intent not to renew at least sixty (60) days prior to the end of the Subscription Term.
