Term, Removal and Vacancies. Each officer of the Company shall hold office until his successor has been chosen and qualified or until he shall have resigned or shall have been removed. If a new office of Manager shall be created, the Board of Managers shall, by majority vote, appoint a new Manager. Any Manager may resign his or her office at any time by delivering a written resignation to the Board of Managers. Unless a later date is specified, such resignation shall take effect thirty (30) calendar days from the date of delivery to the Board of Managers.

Any officer elected or appointed by the Board of Directors may be removed by the Board of Directors whenever, in its judgment, the best interests of COMCARE will be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the person so removed. If the office of any officer becomes vacant for any reason, the vacancy shall be filled by the Board of Directors.
