Termination and Clawback. Notwithstanding anything in this Agreement to the contrary, if the Executive engages in material willful misconduct in respect of his obligations hereunder, including, but not limited to, fraudulent misconduct, during the term of this Agreement or during the period in which he is otherwise entitled to receive payments hereunder following his termination of employment, then (1) the Executive shall be required to repay to the Company any incentive compensation (including equity awards) paid to the Executive during or with respect to the period in which he engaged in such misconduct, as determined by a majority of the Board of Directors of Group in its sole discretion, provided that no such determination may be made until the Executive has been given written notice detailing the specific event constituting such material willful misconduct and an opportunity to appear before the Group Board (with legal counsel if so requested in writing by the Executive) to discuss, and if possible cure to the Group Board’s satisfaction, the specific circumstances alleged to give rise to the material willful misconduct; and (2) upon such determination, if the Executive has begun to receive payments or benefits under Section 6(c)(ii), (iii), (iv) and (v), then such payments and benefits shall immediately terminate, and the Executive shall be required to repay to the Company the payments and the value of the benefits previously provided to him hereunder.

Termination and Clawback. 8.1 Either Party may serve notice on the other to terminate this Agreement by giving 3 months written notice. Where notice is given under this clause, the Agreement shall terminate at the end of that financial year. 8.2 The Authority may terminate this agreement in the event that it considers that the best interests of Warwickshire pupils are not being met through this Agreement by giving at least 4 weeks written notice to the Responsible School. Where notice to terminate is given under this clause, the Agreement shall cease at the end of the academic term following the notice. 8.3 The Authority may terminate this Agreement with immediate effect in the event that the Responsible School does not comply with any of the terms of this Agreement. 8.4 The Authority, acting reasonably, may vary the Funding Allocation during the academic year by giving not less than 4 weeks written notice of a proposal to vary the Funding Allocation only in circumstances where it can demonstrate that the Responsible School’s use of the Funding Allocation does not meet the requirements of Annex 1 and the Responsible School has been notified of this and has failed to remedy the situation within a period of 10 School Days. 8.5 Where the Funding Allocation is varied in accordance with clause 8.4, the Responsible School may terminate the Agreement with immediate effect where it is of the reasonable opinion that the Services of the Agreement as set out in Annex 1 can no longer be delivered through the varied Funding Allocation. 8.6 Neither Party shall be liable to the other Party for any delay in or failure to perform its obligations under the Agreement if such delay or failure results from an event beyond the reasonable control of such party. If such event of force majeure continues for a period of 30 days either party may terminate this Agreement by notice in writing to the other Party. The Party suffering the event of force majeure shall take all reasonable steps to mitigate such delay or failure. 8.7 In the event that this Agreement is varied or terminated the Responsible School shall notify the Authority of the amount of the Funding Allocation it has spent or committed in the relevant year. 8.8 Where this Agreement is terminated under any clauses 8.1 to 8.3, the Responsible School shall provide to the Authority the Funding Allocation for the remaining period, calculated pro-rata.   • Cancellation and Termination a) The exhibitor shall have the right to cancel this license agreement or downsize by notice in writing to be delivered to MPE. All deposits/payments received by MPE up to the date of notice of cancellation or downsize are non-refundable and non-transferable and the balance of the full cost of the space is due immediately. In the event that the Exhibitor (i) fails to make payments in accordance with the payment schedule setout herein or (ii) fails to appear at the show; MPE reserves the right to cancel this license agreement without notice and all rights of the Exhibitor hereunder shall cease and terminate. The Exhibitor shall not be entitled to any offset or mitigation of the amount due under this license agreement as a result of the use of or payment for the space by another exhibitor in the Show. c) Each covenant by the Exhibitor contained herein is material and of the essence of this license agreement and violation of any term or condition hereof by the Exhibitor shall be a default of the entire agreement entitling MPE to immediately and without notice revoke the privileges granted to the Exhibitor and take possession of the space of the defaulting Exhibitor. Any such revocation of the license granted herein shall be without prejudice to MPE to make any claim for damages or enforcement of the payment of any amounts due pursuant to the terms hereof.

  • Termination and Effect of Termination This Agreement shall terminate upon the date on which no Holder holds any Registrable Securities, except for the provisions of Sections 3.9 and 3.10, which shall survive any such termination. This Agreement will also immediately terminate in the event of its assignment. (As used in this Agreement, the terms “majority of the outstanding voting securities,” “interested person” and “assignment” shall have the same meanings of such terms in the 1940 Act.)

  • Resignation and Termination An Authenticating Agent may resign by notifying the Indenture Trustee and the Owner Trustee. The Indenture Trustee may terminate the agency of an Authenticating Agent by notifying the Authenticating Agent and the Owner Trustee.
