Termination by Contractor. If Huron Valley Schools breaches the contract and the Contractor, in its sole discretion, determines that the breach is curable, the Contractor will then provide Huron Valley Schools with notice of the breach and a time period (not less than 30 days) to cure the breach. The Contractor may terminate this Contract if Huron Valley Schools: (i) materially breaches its obligation to pay the Contractor undisputed amounts due; (ii) breaches its other obligations to an extent that makes it impossible or commercially impractical for the Contractor to complete the deliverable(s); or (iii) does not cure the breach within the time period specified in a notice of breach. The Contractor must discharge its obligations before it terminates the contract.
