The Executive must give such effect (such termination to be effective on the date specified in such notice, which date shall not be more than sixty (60) days nor less than notice within [thirty (30)] days of Employer’s notification to the Executive that his position is being eliminated or his Salary is being reduced (provided in either case the Employer does not promptly remedy the cause of the Good Reason) days after or else the date of such notice)Executive waives his right to terminate for Good Reason.

Termination by Executive for Good Reason. The Executive may terminate this Agreement (and Executive's ’s employment hereunder may hereunder) by providing 30 calendar days’ advance written notice of termination and provided that the condition remains uncured through the end of such 30-day period. In the event of any such termination, Executive shall be entitled to the Accrued Benefits and separation benefits under Section 10(c) as if the Company had terminated Executive’s employment without Cause. This provision shall not apply if Executive is terminated by the Executive for Good Reason by providing written notice to the Corporation to such effect reason of death or Disability (such termination to be effective on the date specified in such notice, which date shall not be more than sixty (60) days nor less than thirty (30) days after the date of such noticeas defined below).

Termination by Executive for Good Reason. The Executive's employment hereunder may be terminated by the Executive for Good Reason by providing written notice to the Corporation to such effect (such termination to be effective on Immediately upon the date specified in such noticea written notice provided by the Executive to the Board that her employment is being terminated for Good Reason (following any applicable notice and period for cure as required by the definition of Good Reason); provided, which date that if the Executive is terminating for Good Reason due to relocation as described in Section 1.14(e), the Executive shall not be more than sixty (60) days nor provide the Company no less than thirty (30) days after days' advance written notice, unless the date of Company affirmatively waives such notice).30-days' advance notice requirement; or
