Termination for Unavailability of Certain Third-Party Social Platforms. If the operator of any Third-Party Social Platform ceases making its Third-Party Social Platform or its Indexed Content available for use with the Marketing Cloud Services on reasonable terms, with the intent not to resume making it available for use with the Marketing Cloud Services on reasonable terms, then You may notify Us of Your termination of any Marketing Cloud Service subscriptions that have become substantially unusable as a result thereof. Such Marketing Cloud Service subscriptions shall terminate effective 30 days after such notice unless availability of such Third-Party Social Platform or Indexed Content for use with the Marketing Cloud Services has resumed during the 30-day period. In the event of any such termination, We shall refund to You any prepaid fees covering the remainder of the term of the terminated Marketing Cloud Services subscriptions after the effective date of termination. Except as provided above, any unavailability of any Third-Party Social Platform or Indexed Content for use with the Marketing Cloud Services shall not entitle You to any termination right, credit, refund or other compensation.

Additional Government Provisions - if a government agency has a need for rights not granted under these terms, it must negotiate with Captis to determine if there are acceptable terms for transferring such rights, and a mutually acceptable written addendum specifically conveying such rights must be included in any applicable agreement. In the event of any such termination, We shall refund to You any prepaid fees covering the remainder of the term of the terminated “The Omotenashi” subscriptions after the effective date of termination. Except as provided above, any unavailability of any Third-Party Social Platform for use with the “The Omotenashi” shall not entitle You to any termination right, credit, refund or other compensation.

For purposes of this Section, “Information” means all information received from the Borrower or any Subsidiary relating to the Borrower or any Subsidiary or any of their respective businesses, other than any such information that is available to the Administrative Agent, any Lender or the L/C Issuer on a nonconfidential basis prior to disclosure by the Borrower or any Subsidiary, provided that, in the case of information received from the Borrower or any Subsidiary after the date hereof, such information is clearly identified at the time of delivery as confidential. Any Person required to maintain the confidentiality of Information as provided in this Section shall be considered to have complied with its obligation to do so if such Person has exercised the same degree of care to maintain the confidentiality of such Information as such Person would accord to its own confidential information.
