Termination of Registration. Prosper may, in its sole discretion, with or without cause, terminate this Agreement at any time by giving you notice as provided below. In addition, upon our determination that you committed fraud or made a material misrepresentation in connection with a listing, investor commitment or loan, performed any prohibited activity, or otherwise failed to abide by the terms of this Agreement or the Prosper Terms and Conditions, we may, in our sole discretion, immediately and without notice, take one or more of the following actions: (i) terminate or suspend your right to submit listings or otherwise participate on the Platform; or (ii) terminate this Agreement and your registration with Prosper. Upon termination of this Agreement and your registration with Prosper, any listings you have submitted through the Platform shall be cancelled, and will be removed from the Platform immediately. Any loans you obtain prior to the effective date of termination resulting from listings you had placed on the Platform shall remain in full force and effect in accordance with their terms.
Termination of Registration. Each of the parties hereto agrees to cooperate with the other party in taking, or causing to be taken, all actions reasonably necessary to terminate the registration of the Common Shares under the Exchange Act; provided that such termination shall not be effective until or after the Effective Time.

Upon termination of this Agreement and your registration with Prosper, any bids you have placed on the platform shall terminate, and will be removed from the platform immediately. Any Notes you purchase from Prosper prior to the effective date of termination shall remain in full force and effect in accordance with their terms.
Termination of Registration. Notwithstanding any other provision in --------------------------- this Agreement, at any time before or after the filing of a registration statement, and before the effective date of such registration statement, the Company may, in its sole discretion, abandon or terminate such registration without the consent of the Holders with no liability to the Holders or any third party arising therefrom.

We may terminate this Agreement and your status as a borrower member at any time if you committed fraud or made a misrepresentation in connection with your registration on the Site or any application or request for a loan, performed any prohibited activity, or otherwise failed to abide by the terms of this Agreement. In such event, we will have all remedies authorized or permitted by this Agreement and applicable law. We may, in our sole discretion, with or without cause and with or without notice, restrict your access to the Site.

The organization has the right to block or delete the User account and deny access using any account to certain services of the Organization, and to delete any content without giving reasons including in case the User violates the terms and conditions of this Agreement or the terms of other documents specified in clause 1.3. Termination of Registration. 5.1 The Open University may cancel your registration for the Nursing qualification in the circumstances set out in the Conditions of Registration or Conditions of Registration (Apprentices) as appropriate to your qualification. In addition, The Open University may cancel your registration if you do not: • remain in employment; • undertake practice learning with your Learning Sponsor or an agreed Placement Provider; or • maintain the standards of the Regulatory Authority with respect to your health, competence and standards of behaviour.
Termination of Registration. 14.1 The Organiser reserves the right in its absolute discretion to deny entry and/or terminate the registration of any Registrant, representative of an Exhibitor, or other person who demonstrates behaviour or acts in a way that it deems to be inappropriate or presents a reasonable risk to the health, safety and wellbeing of others.
Termination of Registration. Rights The right of any Holder to request inclusion in any registration pursuant to Section 5.2 shall terminate if all shares of Registrable Securities held by such Holder may immediately be sold under Rule 144(k).
