Termination Upon Death or Incapacity. Subject to certain exceptions identified in Section X, MBUSA may terminate this Agreement in the event of the death of an Owner or upon the incapacity of any Owner who is also the Retailer Operator, upon written notice to Retailer and such Owner's legal representative. Termination upon either of these events shall be effective ninety (90) days from the date of such notice.
