The Purchaser may load, copy, or transmit PUBLIC ACCESS, or its media products, in whole or in part, only as is necessary for execution, backup, and hot standby. * Purchaser may modify or merge PUBLIC ACCESS solely for execution by itself. Any part of this Software included in such adaptations will continue to be subject to this License. * Purchaser agrees to maintain necessary internet links to allow for a consolidated search of shelter data. * HLP agrees to maintain a neutral, commercial free internet site for the sole purpose of achieving a consolidated search. All ‘hits’ are immediately linked to the local Shelter home page. * Images and data extracts created by PUBLIC ACCESS are intended for use by the Purchaser only. Transfer or sale of PUBLIC ACCESS images by the PURCHASER to other non-licenses entities for commercial purposes is forbidden. * HLP shall bill the Purchaser a Support & Maintenance FEE periodically using the formula under “Payment”. In the event of conflict between the Special Notices and the other portions of this Agreement, the Special Notices will take precedence (but solely with respect to the non-proprietary third party component(s) to which the Special Notice relates). Unless otherwise expressly stated in the Special Notices for any particular third party component, all third party components included in or accompanying the Product may be used solely in connection with the operation of the Product subject to and in accordance with the terms and conditions of this Agreement.
Terms and Restrictions i. Licensee may not transmit, distribute, or publicly display Content as a standalone file or offer to others for reproduction, streaming, consumption, or resale, or superficially modify any Content in order to sell or license it to others.
ii. Licensor retains all interest, title, and right to and in all of the copyrights and other proprietary rights of the Content that are not expressly granted to Licensee by the terms of this Agreement. Licensee does not acquire any rights to the Content other than rights that are expressly granted by the Agreement to the specific license purchased by Licensee.
iii. This Agreement does not include the right to record a new performance (A.K.A. cover) of the purchased Content.
iv. Licensee may not use the Content or any lyrics or underlying intellectual property within the Content for trademarks, logos, service marks, or any other form of intellectual property now known or devised in the future other than as permitted expressly by the Agreement.
v. Licensee may not use any Content in any unlawful or defamatory context manner.
vi. Licensee may not use any Content in connection with any political policy or viewpoint, or in the advertisement, promotion, or endorsement of any elected official, political party, or candidate.
vii. This License is conditioned upon material compliance by Licensee at the time of purchase, which shall include Licensor’s receipt of full payment of the applicable price for the purchased Content.
viii. Licensee may not use the Content, or any lyrics or underlying intellectual property within, in or on any printed media or merchandise.
ix. In addition to the limitations, conditions and terms of this Agreement, Licensees are subject to the terms contained within the Product Page for any specific piece of Content. This most often applies to P.R.O. Registered Content.
x. No Sample Clearance: None of our Content is cleared for sampling. i. P.R.O. Registration: Much of our Content is registered with Performing Rights Organizations (P.R.O.). Content will have a P.R.O. Label on their product pages if this applies. When necessary for your Production, Licensee is responsible for filling out cue sheets for the use of Licensor’s Content.
