Territorial Limitation. The Agent may only act on behalf of the Cover Holder within the territorial limits of the United Kingdom and Islands excluding Northern Ireland.

The expense of the umpire will be shared equally by You and Us. Unless otherwise agreed to by You and Us, the arbitration will take place in the county and state in which You live. The arbitration shall be governed by the Federal Arbitration Act (9 U.S.C.A. § 1 et. seq.) and not by any state law concerning arbitration. The rules of the American Arbitration Association (xxx.xxx.xxx) will apply to any arbitration under this Agreement. The laws of the state of Illinois (without giving effect to its conflict of law principles) govern all matters arising out of or relating to this Agreement and all transactions contemplated by this Agreement, including, without limitation, the validity, interpretation, construction, performance and enforcement of this Agreement.
Territorial Limitation. Subfranchisor shall not use and/or sublicense the CENTURY 21 name, CENTURY 21 Marks, CENTURY 21 System, nor grant CENTURY 21 territorial subfranchises or franchises outside the Territory.

(b) To ensure that neither the Compound or any Covered Product is exported from the Territory for Commercialization and Development, the Transferee shall use, and shall require each Permitted Transferee to use, its Commercially Reasonable Efforts to diligently monitor Development and Commercialization activities throughout the Territory in respect of the Covered Products. To ensure that neither the Compound nor any Covered Product is imported to the Territory for Commercialization and Development other than as contemplated by this Agreement, Company shall use Commercially Reasonable Efforts to diligently monitor Development and Commercialization activities outside the Territory in respect of the Covered Products. Such monitoring activities shall include the generation and maintenance of written records in sufficient detail so as to allow the production, distribution, and final disposition of units of Covered Products, and research, development and manufacture involving Covered Products and/or the Compound, to be accurately monitored, tracked, and logged. Each Transferee and Company shall keep and retain, and each Transferee shall require each Permitted Transferee to keep and retain, such written records and all supporting data during the Term.
(c) In the event Company, a Transferee, or a Permitted Transferee becomes aware of the export or import for Development or Commercialization from or into the Territory of the Covered Products, the Party becoming aware of such exportation or importation shall so inform the other Party in writing, including the provision of any supporting documentation or other information relating to such exportation. The Transferee shall require each Permitted Transferee by contract to promptly and concurrently inform Company and the Transferee in the event the Permitted Transferee becomes aware of the export from the Territory or the import into the Territory of the Covered Products for Developmen...
Territorial Limitation. The cover is restricted to property within the Republic of South Africa and if the property is in Namibia temporarily, that is for not more than 60 (sixty) days.

Fukuda shall not, without the prior written consent of EndoSonics: (i) promote, advertise, sell, distribute the IVUS, EndoSonics and Cardiometrics Products in any country outside the Territory; (ii) cause, directly or indirectly, the importation of the Product into any country outside the Territory; nor (iii) establish a repair or maintenance facility in any country outside the Territory.

Territorial Limitation. Distributor agrees that it shall conduct its marketing, promotion, advertisement, sale and distribution of the Licensed Products solely in the Territory. Distributor shall not sell, market, promote, advertise or distribute the Licensed Products outside the Territory. Distributor shall not knowingly sell the Licensed Products, directly or indirectly, to any Third Party in the Territory for resale outside the Territory. It is acknowledged by the parties, however, that certain sales of the Licensed Products by Distributor to the United States Government, and its subdivisions thereof, may result in the Licensed Products being shipped to military bases and other government installations that are outside the scope of the Territory and such sales shall not constitute a breach of this Agreement. MPL shall use Commercially Reasonable Efforts to ensure that its Affiliates shall not sell the Licensed Products, directly or indirectly, to Third Parties in the Territory for commercial sale. The Distributor shall immediately refer to MPL all enquiries received for the Licensed Product from outside the Territory or for delivery of the Licensed Product outside the Territory.
