TERRITORIAL LIMITATIONS. 9.1 The Coverholder is authorised to bind insurances only for risks located in the territory(ies) stated in 9.1 of the Schedule;
9.2 The Coverholder is authorised to bind insurances only for insureds domiciled in the territory(ies) stated in 9.2 of the Schedule;
9.3 The Coverholder is authorised to bind insurances with territorial limits not greater than those stated in 9.3 of the Schedule.
TERRITORIAL LIMITATIONS. NewTech covenants and agrees that, during the term of this Agreement or until this Agreement is terminated in accordance with the provisions of Article 10 below:
2.2.1 NewTech shall not, directly or indirectly, sell any Product to a Discount Department Store in the United States, subject to Sections 10.4 and 10.5 hereof.
2.2.2 Except with the prior written consent of NewTech (which consent may be refused in the sole, absolute and arbitrary discretion of NewTech), Kmart shall not sell any Product to any Person outside the United States. The United States includes Puerto Rico and Guam.
2.2.3 The parties acknowledge and agree that the relationship hereby established between Kmart and NewTech is solely that of buyer and seller of goods that each is an independent contractor engaged in the operation of its own respective business, that neither party shall be considered to be the agent of the other party for any purpose whatsoever, except as otherwise expressly indicated in this Agreement, and that, except as otherwise expressly indicated in this Agreement, neither party has any authority to enter into any contract, assume any obligations or make any warranties or representations on behalf of the other party. Nothing in this Agreement shall be construed to establish a partnership or joint venture relationship between NewTech and Kmart. Nothing in this Agreement shall be deemed in any way to constitute a sublicense by NewTech of its rights under the License Agreement, and the relationship between the parties hereto shall at all times be as set forth in this paragraph.
TERRITORIAL LIMITATIONS. This Agreement does not cover failures that occur outside of the fifty (50) states of the United States of America, and/or the District of Columbia.
TERRITORIAL LIMITATIONS. Manager shall not issue any policy in any jurisdiction other than the authorized states defined as those states in which Company is licensed and has filed and approved rates and policies. Company at its own discretion may limit or revoke Manager’s authority as regards any particular state.

9.3 The Consortium Manager is authorised to bind insurances with territorial limits not greater than those stated in 9.3 of the Schedule.
TERRITORIAL LIMITATIONS. Each Party hereby covenants and agrees that it and its Affiliates shall not, either directly or indirectly, Commercialize Licensed Products except in accordance with this Agreement. Specifically and without limitation, MPI shall not deliver or tender (or cause to be delivered or tendered) any Licensed Product outside of the Licensed Territory or offer for sale any Licensed Product that could reasonably be expected to be reimported into the SGI Territory. SGI shall not deliver or tender (or cause to be delivered or tendered) any Licensed Product outside of the SGI Territory or offer for sale any Licensed Product that could reasonably be expected to be reimported into the Licensed Territory.
TERRITORIAL LIMITATIONS. 16.1 The Coverholder is authorised to bind insurances only for risks located in the territory(ies) in which the Underwriter has the appropriate licences as stated in paragraph 4 of Schedule 1 (Operation of this Agreement) to be updated by the Underwriter following any changes.
16.2 The Coverholder is only authorised to underwrite business for and on behalf of the Underwriter in respect of Product holders established in the territory(ies) stated in paragraph 5 of Schedule 1 (Operation of this Agreement).
16.3 Subject to Applicable Law, the business that the Coverholder underwrites for and on behalf of the Underwriter is not subject to any territorial limits.
TERRITORIAL LIMITATIONS. WGT shall not use the SPDR Xxxx in (i) any jurisdiction where the SPDR Xxxx has not been registered in the relevant classes or (ii) a jurisdiction where entry of WGT as a registered or authorized user is required, prior to the execution of an appropriate registered user agreement or similar agreement and the filing thereof with the appropriate governmental agency (except where failure to do so prior to use shall nor have a material adverse effect of the SPDR Xxxx); provided, however, that notwithstanding the foregoing, upon written approval from State Street, WGT may use the SPDR Xxxx in certain jurisdictions after filing of an application for registration. The jurisdictions in which WGT currently may use the SPDR Xxxx are listed in Exhibit A. In the event WGT wishes to use the SPDR Xxxx in jurisdictions not listed in Exhibit A, WGT shall submit to State Street a written request for the addition of such territory, and State Street will, at WGT’s expense, undertake commercially reasonable efforts to permit such expansion, subject to the terms and conditions of the SPDR License.
