Test Date. Xxxx Atlantic and Carrier will arrange for joint testing of Service(s) for Carrier’s local exchange customer in the LATA(s) designated in Section 1.1. This Test Date will occur within ninety (90) days after Carrier has provided a complete and accurate Technical Questionnaire to Xxxx Atlantic, unless mutually agreed otherwise.
Test Date. The “TEST DATE” means the date that is the earlier to occur of (i) the fifth anniversary of the date hereof and (ii) the consummation of a Significant Event.
Test Date. This Compliance Certificate is delivered for the fiscal [quarter/year] ended [________ __], 20[__] (the “Test Date”). Unless otherwise indicated, references to the “Period” refer to the four fiscal quarters ending on the Test Date.

(i) If the Conversion Price exceeds the VWAP on such date, then the Company shall redeem all of the shares of Series A Preferred Stock then outstanding, to the extent not prohibited by law, at the Original Issuance Price; and
(ii) If the Conversion Price is equal to or less than the VWAP on such date, then the Company shall convert all of the shares of Series A Preferred Stock then outstanding into shares of Common Stock, to the extent not prohibited by law, at the Conversion Price.
Test Date. The Secretary of State may, at any time between Licence Award and the System Acceptance Date, upon written notice to IP OpCo, require IP OpCo to provide the Secretary of State with all information which the Secretary of State requires (acting reasonably) in order to measure any of the requirements which are expressed to be measured at a Test Date under this Agreement.
