Each of Seller and Purchaser shall give (or will cause their respective Subsidiaries to give) any notices to third persons, and use, and cause their respective subsidiaries to use, their commercially reasonable efforts without the expenditure of funds to obtain any consents from third persons necessary to consummate the transactions contemplated by this Agreement.
