Timeshare Documents. If the Declaration, any of the other documents creating or governing the Resorts, its timeshare regime, or the Timeshare Owners’ Association, or the restrictive covenants with respect to the Resorts, shall be terminated, amended or modified without Agent’s prior written consent (except for routine non-substantive modifications which have no impact on the Collateral).
Timeshare Documents. If the Timeshare Declaration, any of the other documents creating or governing a Timeshare Project, its timeshare regime, or the Association, or the restrictive covenants with respect to a Timeshare Project, shall be terminated, amended or modified in any material adverse manner with respect to the Lender’s Collateral or the ability of the Borrower to Perform its Obligations.
Timeshare Documents. Any registration statement required under any Timeshare Act approving the establishment and operation of the Resorts and the sales of Intervals.
Timeshare Documents. Any and all documents evidencing or relating to the sale of Intervals by Borrower.
Timeshare Documents. At least ten (10) days prior to the requested Advance, Borrower shall deliver to the Custodial Agent Prefunding Documents for each Note Receivable for which an Advance is being requested.
Timeshare Documents. Without Lender's prior written consent, Borrower shall not in any material respect amend or modify or terminate the Declaration or other Timeshare Documents.
Timeshare Documents. Any registration statement approving the establishment and operation of the Eligible Projects and the sales of Timeshare Interests required under any statute, act, regulation, ordinance, rule or law applicable to the establishment and operation of the Eligible Projects and the sales of the Timeshare Interests.
Timeshare Documents. Developer shall have prepared and filed such documents as are necessary or appropriate to receive the approval of the Regulators in connection with the creation, marketing and sale of such Timeshares to the general public. Developer shall have provided TFC with written evidence of such approval, together with a written opinion of counsel acceptable to TFC confirming Developer's compliance with all applicable statutes, ordinances, rules and regulations in connection with the creation, marketing and sale of such Timeshares. Developer shall at all times during the term of the Loan have an effective Public Offering Statement ("Public Offering Statement") for each Resort that is subject to the terms of this Loan Agreement pursuant to Exhibit F hereto.
Timeshare Documents. If any Applicable Underlying Declaration, any of the other documents creating or governing any Resort, any applicable timeshare plan, any Applicable Timeshare Owners' Association or any restrictive covenants with respect to any Resort shall be terminated, amended, or modified in a manner that violates a covenant in the Loan Documents, without TFC's prior written consent.
Timeshare Documents. A copy of the Timeshare Program Consumer Documents and the Timeshare Program Governing Documents corresponding to each Timeshare Project, including information concerning the anticipated income from assessments and/or subsidies, of the Timeshare Association, all of which shall be satisfactory to Lender.
