Title Certificate. The Loan Parties shall deliver title ----------------- insurance certificates to the Collateral Agent for the benefit of the Banks, issued by a title insurance company acceptable to the Administrative Agent and certifying the name of the record owner, all existing mortgages, judgment liens and tax liens encumbering the skilled nursing facilities subject to the First Mortgages and a true and correct and complete legal description of the applicable Loan Parties' fee simple title to all such owned real property of the Loan Parties, as the case may be, and all improvements and all appurtenances thereto.
Title Certificate. Where the Company purchases back the Products in accordance with Article 22.8, the Dealer shall delivered to the Company the certificates evidencing that there is not any encumbrance on such Products.
