Title; Quiet Enjoyment. Title to the Equipment shall at all times be vested in Lessor. All documents of title and evidences of delivery shall be delivered to Lessor. Lessee authorizes Lessor, at Lessee's expense, to cause the Lease, or any statement or other instrument in respect of the Lease showing the interest of Lessor in the Equipment, including Uniform Commercial Code Financing Statements, to be filed or recorded, and grants Lessor the right to sign Lessee's name thereto. Lessee agrees to execute or procure for Lessor such estoppel certificates, landlord's or mortgagee's waivers or other documents as Lessor may request to confirm or perfect Lessor's rights hereunder or to otherwise effectuate the intents of the Lease. Lessee agrees to pay or reimburse Lessor for any filing, recording or stamp fees or taxes arising from the filing or recording of any such instrument or statement. Lessee shall, at its expense, protect and defend Lessor's title against all persons claiming against or through Lessee, keep the Equipment free from legal process or encumbrance, give Lessor immediate notice thereof and shall indemnify Lessor from any loss caused thereby. So long as Lessee is not in default under the Lease Lessee shall quietly use and enjoy the Equipment, subject to the terms of the Lease.
Title; Quiet Enjoyment. We shall at all times retain title to the Equipment. All documents of title and evidence of delivery shall be delivered to us. You hereby authorize us, at your expense, to cause this Lease, or any statement or other instrument in respect to this Lease showing our interest in the Equipment, including Uniform Commercial Code Financing Statements to be filed or recorded and refiled and rerecorded, and grant us the right to execute your name thereto. You agree to execute and deliver any statement or instrument requested by us for such purpose, and agree to pay or reimburse us for any filing, recording or stamp fees or taxes arising from the filing or recording of any such instrument or statement.
Title; Quiet Enjoyment. With respect to each Property Schedule executed pursuant hereto, so long as there does not exist an Event of Default (as defined in Section 7.1.1 below), title to the Property will vest in the name of Lessee, subject to Lessor's security interest described in Section 3.3

The Lessee shall, at its expense, protect and defend the Lessors' title against all persons claiming against or through. The Lessee shall, at all times, keep the equipment free from legal process or encumbrance whatsoever and, shall give the Lessor immediate notice of that and shall indemnify the Lessor from any loss caused by that. The Lessee agrees to procure for the Lessor such estoppel certificates, landlord's or mortgagee's waiver or other similar documents as the Lessor may reasonably request. Provided the Lessee is not in default under this Agreement, the Lessee shall quietly use and enjoy the equipment subject to the terms of this Agreement.
Title; Quiet Enjoyment. Owner represents and covenants that it has acquired, and throughout the Term will maintain, a valid and continuing leasehold estate (pursuant to the Authorized Lease) to the Casino, subject only to the
Title; Quiet Enjoyment. 12.1 Landlord covenants that Landlord has good and clear, record and marketable fee simple title in and to the Premises, subject only to the encumbrances listed on Exhibit B attached hereto and made a part hereof. Landlord covenants that Tenant, on paying the Rent as herein provided and keeping, performing and observing the covenants, agreements and conditions herein required of Tenant, shall peaceably and quietly hold and enjoy the Premises for the Lease Term, subject, however, to the terms and conditions of this Lease.
Title; Quiet Enjoyment. Lessee acknowledges and agrees that upon Lessor's acquiring the Aircraft on the Acceptance Date, Lessor is and shall remain the owner of the Aircraft (unless Lessor sells the Aircraft pursuant to an applicable provision of this Lease), and Lessee shall not acquire any right, title or interest in or to the Aircraft except the right to use the Aircraft pursuant to the terms of this Lease. Lessor warrants that during the Term, so long as no Event of Default has occurred, Lessee's possession and use of the Aircraft shall not be interfered with by Lessor or anyone rightfully claiming an interest through Lessor. The preceding warranty is in lieu of all other warranties by Lessor, whether written, oral or implied, with respect to this Lease or the Aircraft, and without limiting the provisions of Section 7, any actual or purported breach of this warranty shall not give rise to any Abatement, and Lessor shall not be deemed to have modified in any respect the obligations of Lessee pursuant to Section 7, which obligations are and shall remain absolute, irrevocable and unconditional under all events and circumstances whatsoever. SECTION 5.
Title; Quiet Enjoyment. Lessor shall at all times retain title to the Equipment, subject to its right to assign its interest as hereafter provided. All documents of title and evidences of delivery shall be delivered to Lessor. Lessee will not change or remove any tags, insignia, or lettering which is on the Equipment at the time of delivery thereof or which is thereafter placed thereon indicating Lessor's ownership thereof, and at any time during the Lease term, upon request of Lessor, will affix to the Equipment, in a prominent place, labels, plates, or other markings supplied by Lessor stating that the Equipment is owned by Lessor. Lessor is hereby authorized by Lessee, at Lessee's expense, to cause this Lease or any financing statements or other documents in respect of this Lease showing the interest of Lessor in the Equipment to be filed or recorded and refiled and re-recorded and Lessee agrees to execute and deliver any statement or documents requested by Lessor for such purpose and pay or reimburse Lessor for any searches, filings, recordings or stamp fees or taxes arising therefrom. In addition to the foregoing, Lessee agrees to pay Lessor on the Commencement Date, the sum of One Hundred Seventy-Five and 00/100 ($175.00) Dollars to cover Lessor's UCC filing fees and other administrative expenses in connection with the process of the Lease. Lessee shall at its expense protect and defend Lessor's title against all persons claiming against or through Lessee, at all times keeping the Equipment free from any legal process or encumbrance whatsoever, including but not limited to liens, attachments, levies and executions, and shall give Lessor immediate written notice thereof and shall indemnify Lessor from any loss caused thereby. Lessee shall not so affix the Equipment to realty so as to change its nature to real property and agrees that the Equipment shall remain personal property at all times regardless of how attached or installed. Lessor warrants that it has good title to the Equipment, that it has the power and authority to lease the Equipment to Lessee and that provided Lessee is not in default hereunder Lessee shall quietly use and enjoy the Equipment subject to the terms hereof.
Title; Quiet Enjoyment. The Lessor represents and warrants to the Lessee that it owns the Core Equipment free and clear of any and all liens, claims, reservations, restriction, covenants, licenses, leases or other encumbrances. The Lessor further represents, warrants and agrees that, if Lessee shall promptly pay all rent and discharge all other covenants of this Lease Agreement, the Lessee shall have quiet and peaceful enjoyment and possession of the Core Business Equipment during the Term without hindrance from the Lessor or other persons claiming by, through or under the Lessor.
Title; Quiet Enjoyment. Landlord covenants, represents and warrants to Tenant that: (i) Landlord owns good and marketable title to the Property, and Landlord has the full right, power and authority, without the consent or approval of any other party, or Landlord has obtained any necessary approvals, to enter into this Lease and perform the obligations of the Landlord to be performed, and (ii) no encumbrance or restriction has been, or will be, imposed upon the Property, which shall impair or restrict any right granted to Tenant or derived by Tenant under this Lease. In this regard, Landlord covenants and represents that, as of the Execution Date, no third party has any right, title or interest in the Property, or any portion thereof. In the event that Landlord has granted any such right, title or interest to any third party by means of a lease, easement, license or other instrument or transaction, such right or interest shall be terminated and extinguished by Landlord on or before the Execution Date.
