Title; Quiet Enjoyment. Title to the Equipment shall at all times be vested in Lessor. All documents of title and evidences of delivery shall be delivered to Lessor. Lessee authorizes Lessor, at Lessee's expense, to cause the Lease, or any statement or other instrument in respect of the Lease showing the interest of Lessor in the Equipment, including Uniform Commercial Code Financing Statements, to be filed or recorded, and grants Lessor the right to sign Lessee's name thereto. Lessee agrees to execute or procure for Lessor such estoppel certificates, landlord's or mortgagee's waivers or other documents as Lessor may request to confirm or perfect Lessor's rights hereunder or to otherwise effectuate the intents of the Lease. Lessee agrees to pay or reimburse Lessor for any filing, recording or stamp fees or taxes arising from the filing or recording of any such instrument or statement. Lessee shall, at its expense, protect and defend Lessor's title against all persons claiming against or through Lessee, keep the Equipment free from legal process or encumbrance, give Lessor immediate notice thereof and shall indemnify Lessor from any loss caused thereby. So long as Lessee is not in default under the Lease Lessee shall quietly use and enjoy the Equipment, subject to the terms of the Lease.

Provided the Lessee is not in default under this Agreement, the Lessee shall quietly use and enjoy the equipment subject to the terms of this Agreement.
Title; Quiet Enjoyment. Lessee acknowledges and agrees that upon Lessor's acquiring the Aircraft on the Acceptance Date, Lessor is and shall remain the owner of the Aircraft (unless Lessor sells the Aircraft pursuant to an applicable provision of this Lease), and Lessee shall not acquire any right, title or interest in or to the Aircraft except the right to use the Aircraft pursuant to the terms of this Lease. Lessor warrants that during the Term, so long as no Event of Default has occurred, Lessee's possession and use of the Aircraft shall not be interfered with by Lessor or anyone rightfully claiming an interest through Lessor. The preceding warranty is in lieu of all other warranties by Lessor, whether written, oral or implied, with respect to this Lease or the Aircraft, and without limiting the provisions of Section 7, any actual or purported breach of this warranty shall not give rise to any Abatement, and Lessor shall not be deemed to have modified in any respect the obligations of Lessee pursuant to Section 7, which obligations are and shall remain absolute, irrevocable and unconditional under all events and circumstances whatsoever.
Title; Quiet Enjoyment. 12.1 Landlord covenants that Landlord has good and clear, record and marketable fee simple title in and to the Premises, subject only to the encumbrances listed on Exhibit B attached hereto and made a part hereof. Landlord covenants that Tenant, on paying the Rent as herein provided and keeping, performing and observing the covenants, agreements and conditions herein required of Tenant, shall peaceably and quietly hold and enjoy the Premises for the Lease Term, subject, however, to the terms and conditions of this Lease.

Lessor is hereby authorized by Lessee, at Lessee's expense, to cause this Lease or any financing statements or other documents in respect of this Lease showing the interest of Lessor in the Equipment to be filed or recorded and refiled and re-recorded and Lessee agrees to execute and deliver any statement or documents requested by Lessor for such purpose and pay or reimburse Lessor for any searches, filings, recordings or stamp fees or taxes arising therefrom. In addition to the foregoing, Lessee agrees to pay Lessor on the Commencement Date, the sum of One Hundred Seventy-Five and 00/100 ($175.00) Dollars to cover Lessor's UCC filing fees and other administrative expenses in connection with the process of the Lease. Lessee shall at its expense protect and defend Lessor's title against all persons claiming against or through Lessee, at all times keeping the Equipment free from any legal process or encumbrance whatsoever, including but not limited to liens, attachments, levies and executions, and shall give Lessor immediate written notice thereof and shall indemnify Lessor from any loss caused thereby. Lessee shall not so affix the Equipment to realty so as to change its nature to real property and agrees that the Equipment shall remain personal property at all times regardless of how attached or installed. Lessor warrants that it has good title to the Equipment, that it has the power and authority to lease the Equipment to Lessee and that provided Lessee is not in default hereunder Lessee shall quietly use and enjoy the Equipment subject to the terms hereof.

Title; Quiet Enjoyment. Landlord represents and warrants that it is the owner in fee simple of the premises known as Two Princess Road, Lawrenceville, New Jersey, free and clear of all liens, encumbrances and other exceptions except as set forth in Exhibit C. So long as Tenant shall perform and observe all the covenants and agreements and undertakings of this Lease on Tenant's part to be performed and observed, Tenant shall have quiet, peaceful and uninterrupted possession of the Demised Premises.
Title; Quiet Enjoyment. Owner represents and covenants that it has acquired, and throughout the Term will maintain, a valid and continuing leasehold estate (pursuant to the Authorized Lease) to the Casino, subject only to the Permitted Exceptions and the provisions of Article 4.03. Owner covenants that during the Term Manager shall and may peaceably possess and quietly enjoy the Casino in accordance with the terms of this Agreement, free from molestation, eviction and disturbance by Owner or by any other person or entity (other than any person or entity claiming through Manager to the extent such claims relate to Manager). Owner shall, at Owner's expense, undertake and prosecute all actions, judicial or otherwise, required to assure such quiet enjoyment and peaceable possession by Manager. Notwithstanding the foregoing, any termination of the Authorized Lease that is not caused by any act or omission of Owner, shall not be a violation of this Article 4.02 but shall be treated as a casualty for purposes of Article 15.
Title; Quiet Enjoyment. Owner represents and covenants that it has acquired fee simple title to or leased the Site pursuant to the Ground Lease, and, throughout the Term, will maintain, fee simple title and its leasehold estate pursuant to the Ground Lease, in the Entertainment Facility, Excursion Gambling Boats and Excursion Gambling Support Facilities, as the case may be, subject only to the Permitted Exceptions and the provisions of Article 21.2 of this Agreement. Owner covenants, during the Term, that Manager shall and may peaceably and quietly operate the Entertainment Facility in accordance with the terms of this Agreement, free from molestation, eviction and disturbance by Owner or by any other person or entity. Owner shall, at Owner's expense, undertake and prosecute all actions, judicial or otherwise, required to assure such quiet and peaceable operation by Manager.
