Title to Other Property. Mortgagor has good title to the Personalty, and the Personalty is not subject to any Encumbrance other than the Permitted Encumbrances. None of the Leases, Rents, Design and Development Documents, Contracts of Sale or Refinancing Commitments are subject to any Encumbrance other than the Permitted Encumbrances.

Title to Other Property. To Grantor’s knowledge and belief, Grantor has good title to the Personalty, and the Personalty is not subject to any Encumbrance other than the Permitted Encumbrances. To Grantor’s knowledge and belief, none of the Leases, Rents, Design and Construction Documents, Contracts of Sale or Refinancing Commitments are subject to any Encumbrance other than the Permitted Encumbrances.

Title to Other Property. Title to the Personal Property and all other property intended to be conveyed or assigned hereunder to Purchaser shall be good and valid, subject to no encumbrances or security interests.

Title to Other Property. The Company has good and marketable title to, or a valid leasehold interest in, the properties and assets used to conduct its business, including the properties and assets shown on the financial statements provided to Buyer, or acquired after the date thereof, in each case free and clear of all liens, encumbrances or charges. The assets currently owned by the Company or leased by the Company constitute all of the assets necessary to conduct the business of the Company in accordance with past practices as of the date of the financial statements and as of the date hereof, and are located on the premises of the Company. The buildings, machinery, equipment, and other tangible assets that the Company owns and leases have been maintained in the ordinary course of business consistent with past practices, and are sufficient for operating the business of the Company as presently conducted. The Company does not own any real property.

Title to Other Property. Grantor has good title to the Personalty, and the Personalty is not subject to any Encumbrance other than the Permitted Encumbrances. None of the Leases, Rents, or Loan Documents are subject to any Encumbrance other than the Permitted Encumbrances.

Title to Other Property. Borrower has good title to the Personalty, and the Personalty is not subject to any Encumbrance other than the Permitted Encumbrances.

Title to Other Property. Seller shall own good and marketable title to all assets included in the Hotel (excluding FF&E that is subject to a Lease, if any) that are not insured by the Title Policy, free and clear of liens, claims and encumbrances (other than the items set forth on Schedule B of the Title Policy), including, without limitation, all Monetary Objections.

Title to Other Property. As at the date hereof, title to the Operatorship Assets is held in the name of BHP Billiton Canada, in its capacity as operator of the Core Zone Joint Venture, in trust for BHP Billiton Canada, BCDC and the Core Zone JV Parties in proportion to their respective Core Zone Participating Interests, free and clear of any Encumbrances other than Permitted Encumbrances.

Title to Other Property. Seller has good and marketable title to all Property free and clear of all options, liens, charges, easements, agreements, claims, restrictions or other encumbrances of any kind or nature except as set forth in Exhibit "E". All items of Property have been or on or before Closing will be fully paid for.

Title to Other Property. The Corporation has good and marketable title to all its Assets (other than the Leased Property), free and clear of any and all Encumbrances other than Permitted Encumbrances. To the knowledge of the Corporation, all of the Corporation’s Assets (other than the Leased Property) are free of defects (patent or latent), in good operating condition and in a state of good repair and maintenance, except such as would not reasonably be expected to materially interfere with the continued operation of the Business in substantially the same manner as conducted in the one year preceding the date of this Agreement.
