Titles and Duties. Employer hereby employs Employee to perform, and Employee hereby accepts employment with Employer and agrees to perform the duties and responsibilities of CHIEF EXECUTIVE OFFICER of the Employer, together with such additional powers and duties with respect to Employer's business as may be assigned to Employee by the Board of Directors of Employer during the Initial Term or any Renewal Terms. Employee also agrees to serve as a CHAIRMAN OF THE BOARD OF DIRECTORS of the Employer.
Titles and Duties. Your titles will be President and Chief Technology Officer, and you will report directly to the Board of Directors of the Company (the "Board"). As such, you will be responsible for performing such duties and responsibilities as are customarily assigned to such positions, and to perform such other services as assigned from time to time by the Board, not inconsistent with your positions. You will be expected to devote your full business time and attention to the business of the Company and the performance of your duties.

Executive shall devote all of his business time to the services required of him hereunder, except for authorized vacation time and reasonable periods of absence due to sickness, personal injury or other disability, and shall use good faith efforts to perform the duties of his employment to the best of his ability, provided that Executive may devote reasonable time to the participation in other businesses or to act as a director of any other profit or nonprofit corporation, so long as such activities are not competitive with, and are not conducted with or for, directly or indirectly, any entity that is in competition with, the businesses of the Company or any of its subsidiaries or any prospective businesses that the Company or any of its subsidiaries is actively considering and such activities do not interfere to any significant extent with Executive’s performance of his duties as a full-time executive of the Company or any of its subsidiaries. Executive represents that his employment hereunder and compliance by him with the terms and conditions of this Agreement will not conflict with or result in the breach of any other agreement to which he is a party or by which he may be bound.
Titles and Duties. Until the date of termination of his employment hereunder, Employee shall be employed as Chief Executive Officer, reporting to the Chairman of the Board of Directors. In his capacity as Chief Executive Officer, Employee shall have the customary powers, responsibilities and authorities of such officer of corporations of the size, type and nature of Vasomedical.

Titles and Duties. Company shall employ Executive as Executive Vice President and Chief Financial Officer. Executive shall be responsible for Company's strategic planning, financial, and accounting operations and perform such particular or additional duties, consistent with her office, as may be assigned by Company's president ("president"), to whom the Executive shall directly report, or board of directors ("board"). Executive shall render her services faithfully and to the best of her ability and, subject to Section 5.h, devote her full business time and attention to the services to be rendered by her hereunder.
Titles and Duties. (a) The Executive shall be employed by the Company as its President and Chief Executive Officer.
(b) The Executive shall continue to operate the Company on a day-to-day basis as its President and Chief Executive Officer, and the Executive shall have all duties and authority customarily accorded the President and Chief Executive Officer of the Company.
(c) The Executive shall report to the Board of Directors of the Company.
(d) Executive may engage in personal business and investment activities for his own account; provided, however, that such personal business and investment activities do not, in the reasonable opinion of the Board of Directors, materially interfere with the performance of his duties under this Agreement.
(e) Executive agrees to serve as director of the Company, and as an officer or director of any affiliate of the Company without any additional compensation therefor other than as provided in this Agreement.
Titles and Duties. (i) Until the date of termination of his employment hereunder, Buyko shall be employed as the Executive Vice President of Aeroflex and President of Aeroflex Microelectronics Solutions, reporting to the chief executive officer of Aeroflex and the Board. In his capacity as Executive Vice President and President, Buyko shall have the customary powers, responsibilities and authorities of an executive vice president of corporations of the size, type and nature of Aeroflex.
(ii) During the Employment Term, until a Change in Control, Buyko shall serve as a member of the Board of Directors of Aeroflex.
Titles and Duties. (i) Until the date of termination of his employment hereunder, Groteke shall be employed as Chief Executive Officer, reporting to the full Board. In his capacity as Chief Executive Officer, Groteke shall have the customary powers, responsibilities and authorities of chief executive officers of corporations of the size, type and nature of NetWolves including, without limitation, authority, in conjunction with the Board as appropriate, to hire and terminate other employees of NetWolves.
(ii) During the Employment Term, NetWolves shall uses its best efforts to secure the election of Groteke to the Board and to the chairmanship thereof. During the Employment Term, if the Board forms an executive or similar committee, Groteke shall serve thereon.
Titles and Duties. Until the date of termination of his employment hereunder, Employee shall be employed as a _________ of SRS, reporting to the President of SRS or his designee. In his capacity as a ___________, Employee shall have the customary powers, responsibilities and authorities of a ___________ of a similar unit of Sabratek.
