Trade Allowances Sample Clauses

Trade Allowances. No customers of the Corporation are entitled to or customarily receive discounts, allowances, volume rebates or similar reductions in price or other trade terms arising from any agreements or understandings (whether written or oral) with or concessions granted to any customer.

Trade Allowances. Schedule 5.16 includes a complete list of customers of the Business who are entitled to or customarily receive discounts, allowances, rebates, credits, preferential terms (including rights of guaranteed return of merchandise), or similar reductions in price or other trade terms arising from any agreements or understandings (whether written or oral) with or concessions granted to any customer.

Trade Allowances. Except as set forth on Schedule 3.31, no customer or supplier of the Acquired Companies is entitled to or customarily receives material discounts, allowances, rebates, credits, preferential terms or similar reductions in price or other trade terms arising from any Contracts with or concessions granted to any such Person in excess of (i) 15% of regular price with respect to each customer, or (ii) 10% of regular price with respect to each supplier. All discounts, allowances, rebates, credits, preferential terms or similar reductions in price or other trade terms, including contra transactions, to which customers or suppliers of the Acquired Companies are entitled or customarily receive have been granted by the Acquired Companies in the ordinary course of business.

Trade Allowances. Except for the Corporation’s standard trade terms and discounting policies which have been provided to the Purchaser, as disclosed in Schedule 4.46, no customers of the Corporation or of any of the Subsidiaries are entitled to, or customarily receive, discounts, allowances, rebates, credits, preferential terms, or similar reductions in price or other trade terms arising from any Contract with or concessions granted to any customer.

Trade Allowances. Except as disclosed in ‎Section 3.15 of the Seller Disclosure Schedule, no customer or supplier of the Business is entitled to or customarily receives material discounts, allowances, rebates, credits, or similar reductions in price arising from any Contracts with or concessions granted to any such Person. All discounts, allowances, rebates, credits, or similar reductions in price to which customers or suppliers of the Business are entitled or customarily receive have been granted by Seller in the ordinary course of business.

Trade Allowances. No customers of any of the Companies are entitled to or customarily receive discounts, allowances, volume rebates or similar reductions in price or other trade terms except as are consistent with industry practice.

Trade Allowances. Schedule 3.1(34) sets forth all current volume rebate programs and credit allowances in place for the Business’ customers accounting for more than 2% of the sales of the Business for the fiscal year ended December 27, 2014.

Trade Allowances. (a) Except as described on Schedule 4.17, no customers of the Business are entitled to or customarily receive discounts, allowances, rebates, credits, preferential terms or similar reductions in price or other trade terms arising from any agreements or understandings (whether written or oral) with or concessions granted to any customer. (b) Except as described on Schedule 4.17, no suppliers of the Business, including the tire vendors, provide any discounts, allowances, rebates, volume bonuses, credits or similar reductions in price or other trade terms arising from any agreements or understandings (whether written or oral) with or concessions granted to Seller. Seller has not received any notice that its eligibility to receive any of the discounts, allowances, rebates, volume bonuses, credits or similar reductions in price or other trade terms described on Schedule 4.17 will be changing in any respect, and to Seller’s Knowledge: (i) no suppliers of the Business, including the tire vendors, have any intention of changing such discounts, allowances, rebates, volume bonuses, credits or similar reductions in price or other trade terms; and (ii) the discounts allowances, rebates, volume bonuses, credits or similar reductions in price or other trade terms described on Schedule 4.17 will continue to be available to the Business following Closing. (c) The Audited Financial Statements and the Adjusted EBITDA calculation referred to in Section 4.8(c) fairly and accurately reflect the discounts, allowances, rebates, volume bonuses, credits or similar reductions in price or other trade terms set forth in Schedule 4.17.

Trade Allowances. Other than pursuant to the rebate terms provided to customers included in the customer agreements included in the Data Room as of the date hereof. No customer or supplier of the ANAC Companies is entitled to or customarily receives material discounts, allowances, rebates, credits, preferential terms or similar reductions in price or other trade terms arising from any Contracts with or concessions granted to any such Person. All discounts, allowances, rebates, credits, preferential terms or similar reductions in price or other trade terms, including contra transactions, to which customers or suppliers of the ANAC Companies are entitled or customarily receive have been granted by the ANAC Companies in the ordinary course of business, except as would not be material and adverse to the ANAC Companies, taken as a whole.
