Trade Allowances. The Material Contracts contain all provisions concerning customer and supplier discounts, allowances, volume rebates, preferential terms, customer credits or similar reductions in price or other trade terms that have a material effect on the Corporation.
Trade Allowances. No customers of the Corporation are entitled to or customarily receive discounts, allowances, volume rebates or similar reductions in price or other trade terms arising from any agreements or understandings (whether written or oral) with or concessions granted to any customer.

Trade Allowances. Except for the Corporation’s standard trade terms and discounting policies which have been provided to the Purchaser, as disclosed in Schedule 4.46, no customers of the Corporation or of any of the Subsidiaries are entitled to, or customarily receive, discounts, allowances, rebates, credits, preferential terms, or similar reductions in price or other trade terms arising from any Contract with or concessions granted to any customer.

Seller has not received any notice that its eligibility to receive any of the discounts, allowances, rebates, volume bonuses, credits or similar reductions in price or other trade terms described on Schedule 4.17 will be changing in any respect, and to Seller’s Knowledge: (i) no suppliers of the Business, including the tire vendors, have any intention of changing such discounts, allowances, rebates, volume bonuses, credits or similar reductions in price or other trade terms; and (ii) the discounts allowances, rebates, volume bonuses, credits or similar reductions in price or other trade terms described on Schedule 4.17 will continue to be available to the Business following Closing. (c) The Audited Financial Statements and the Adjusted EBITDA calculation referred to in Section 4.8(c) fairly and accurately reflect the discounts, allowances, rebates, volume bonuses, credits or similar reductions in price or other trade terms set forth in Schedule 4.17.
Trade Allowances. Other than pursuant to the rebate terms provided to customers included in the customer agreements included in the Data Room as of the date hereof. No customer or supplier of the ANAC Companies is entitled to or customarily receives material discounts, allowances, rebates, credits, preferential terms or similar reductions in price or other trade terms arising from any Contracts with or concessions granted to any such Person. All discounts, allowances, rebates, credits, preferential terms or similar reductions in price or other trade terms, including contra transactions, to which customers or suppliers of the ANAC Companies are entitled or customarily receive have been granted by the ANAC Companies in the ordinary course of business, except as would not be material and adverse to the ANAC Companies, taken as a whole.
