Trade Debt. Each of Accentia, Teamm, Analytica or BioVest shall be current on their trade debt obligations owing to McKesson whether under the Supply Agreement or otherwise; and
Trade Debt. Strategic owes to Access $15,753,701.25 outstanding in Trade Debt as of May 16, 2005, a statement of which is attached hereto as Exhibit C. Such amount includes discrepancies in the aggregate amount of $648,685.38 which Strategic and Access agree to resolve in good faith as soon as possible. An aging of the Trade Debt from invoice date is as follows: $ 6,477,238.69 50 or less $ 9,276,462.56 More than 50 Any and all indebtedness of Strategic to Access which is outstanding from time to time, including all present and future indebtedness, obligations, and liabilities and all renewals and extensions thereof, or any part thereof, whether or not set forth in this Section, and all interest accruing thereon and out of pocket costs, expenses and reasonable attorney’s fees incurred in the enforcement or collection thereof, regardless of whether such indebtedness, obligations, and liabilities are direct, indirect, fixed, contingent, liquidated, unliquidated, joint, several, or joint and several, including, but not limited to, the indebtedness, obligations, and liabilities evidenced, secured, or arising pursuant to this Agreement or any other agreement entered into with Access from time to time (such agreements, including any future amendments, modifications, restatements, renewals or extensions thereof, are referred to herein as the “Loan Papers”), and all renewals and extensions thereof, or any part thereof, and all present and future amendments thereto, is referred to herein as the “Indebtedness.”
Trade Debt. The Credit Parties shall not cause or permit BCI Eclipse or Encore Software to incur third party obligations to trade creditors (excluding intercompany indebtedness among the Credit Parties) in an amount not to exceed (i) $5,000,000 in the aggregate for BCI Eclipse or (ii) $12,000,000 in the aggregate for Encore Software.
Trade Debt. Trade payables and accruals from time to time incurred in the ordinary course of business.
Trade Debt. No obligations of either Borrower or Guarantor for the purchase of goods or services for use in connection with any Property are unpaid beyond the due date thereof.
Trade Debt. At no time during the period commencing 30 days after the First Closing and for so long as any portion of the Convertible Notes or Preferred Stock is outstanding shall the Company’s past due and unpaid obligations to third parties in respect of goods or services furnished by such third parties to the Company exceed $5,000,000 in the aggregate.
Trade Debt. Strategic owes Avnet $12,993,485.86 outstanding in Trade Debt, of which $2,928,791.91 is Past Due Trade Debt.”
Trade Debt. Attached as Schedule 5.31 is a true, complete and accurate list of all of Seller's trade payables and all other creditors and claimants who would be entitled to notice of the Asset Purchase under the Missouri Bulk Sales Law, together with a true and current statement of the amount owed to each such creditor and other claimant as of October 31, 2000.
