Trade Secrets Act. Pursuant to the federal Defend Trade Secrets Act, Executive acknowledges that he has been notified of the following: An individual shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of a trade secret that: (A) is made in confidence to a Federal, State, or local government official, either directly or indirectly, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law; or (B) is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. An individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to the attorney of the individual and use the trade secret information in the court proceeding, if the individual (i) files any document containing the trade secret under seal, and (ii) does not disclose the trade secret, except pursuant to court order.
Trade Secrets Act. The Executive acknowledges that he has been given a copy of and has reviewed Chapter 600A of the Nevada Revised Statues, the Nevada Uniform Trade Secrets Act (the "ACT"), and acknowledges that violation of the Act or of the Executive’s agreements, covenants and representations contained in this Agreement may give rise to a cause of action in favor of the Company against the Executive for general and special damages, exemplary damages, injunctive relief and attorney’s fees.

Trade Secrets Act. The MSF claims the additional protection for misappropriation of trade secrets, which include targeted business lists, economic development analyses, computer programs and databases under the Michigan Uniform Trade Secrets Act, 1998 PA 448, MCL 445.1901 et seq. The MSF retains its rights under this Act to actual loss and unjust enrichment caused by the misappropriation. The MSF further retains the right to enjoin any disclosure of trade secrets or other breach of the use of confidential information, at any time, and retains all legal and equitable remedies. Trade Secrets Act. The Confidential Information referenced herein includes but is not limited to the following which are or were developed for the Company by Executive or any other Company employee or agent; names and addresses of guests; computer programs; software and disks; business plans; analytical techniques and methodology; measurement criteria; guest developement techniques; market research; training manuals and video tapes. Executive agrees that he will not disclose or use the Confidential Information, directly or indirectly during or after his employment, other than in the performance of his duties for the Company.
Trade Secrets Act. Executive acknowledges that he has been given a copy of and has reviewed Chapter 325C of Minnesota Statutes, known as the Minnesota Uniform Trade Secrets Act (the "ACT"), and acknowledges that violation of the Act or of Executive's agreements, covenants and representations contained in this Agreement may give rise to a cause of action in favor of the Company against Executive for general and special damages, exemplary damages, injunctive relief and attorney's fees.
Trade Secrets Act. Nothing in this Agreement is intended to or shall be interpreted: (i) to restrict or otherwise interfere with Executive’s obligation to testify truthfully in any forum; (ii) to restrict or otherwise interfere with Executive’s right and/or obligation to contact, cooperate with, provide information in confidence to – or testify or otherwise participate in any action, investigation or proceeding of – any government agency or commission; or (iii) to disclose any information or produce any documents as is required by law or legal process. In addition, the Defend Trade Secrets Act of 2016 (the “Act”) provides that: (1) An individual shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of a trade secret that – (A) is made – (i) in confidence to a Federal, State, or local government official, either directly or indirectly, or to an attorney; and (ii) solely for the purpose of reporting or investigating a suspected violation of law; or (B) is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. Trade Secrets Act. Nothing in this Amendment Of Employment Agreement is intended to limit any remedies that the Companies may have under the Uniform Trade Secrets Act (California Civil Code Section 3426), or otherwise available under law.
Trade Secrets Act. Receiving Party agrees that the Confidential Information is subject to the provisions of the Illinois Trade Secrets Act and agrees to be bound thereby as if the provisions of that Act were incorporated herein.
