Company shall make available to VIQ the ability to create and manage users and security groups for the purposes of transcription, quality control (both pre-delivery and retrospective), statistical reporting, payroll, invoicing and management of services provided to Company. The implementation of the Transcription Services requires that Company be on the then-current version of the Hosted Software. Company acknowledges and agrees that VIQ will deliver the Services utilising its global workforce of employees and agents.

Transcription Services. Vendor shall:
3.3.1. Interpret written text, video recording, or audio from a Source Language and transcribe in writing in the Target Language designated by Citizens.
3.3.2. Provide the written text of the Target Language in the font and format (either Microsoft Word or Adobe PDF) requested by Citizens when transcribing from the Source Language.
3.3.3. Complete Routine Service Requests within three (3) to five (5) business days.
3.3.4. Complete Expedited Service Requests within two (2) business days.
3.3.5. Identify to Citizens, Routine and Expedited Service Requests that may exceed three thousand (3,000) words and provide a suggested timeline for completion. The Parties will mutually agree to the final timeline for completion of these requests.
3.3.6. Provide to Citizens, as part of the Procedure Manual, its electronic process for receipt and return of transcription documents to include email size limitations/restrictions on documents, audio and/or video files.
3.3.7. Ensure the final products on Transcription Services are accurately translated from the Source Language into the appropriate Target Language.
3.3.8. Ensure the final products on Transcription Service retain the actual meaning and intent as set forth in the Source Language.
3.3.9. Provide professional level editing, including grammar, spelling, and punctuation checks on Transcription Services before delivering to Citizens.
Transcription Services a text copy of the spoken word from audio or video recordings. Transcription Services are priced as set forth on Exhibit 1 (the "Rate Sheet"), which are attached hereto, incorporated by reference herein, and made a part hereof. Following execution of this Services Agreement, Client may request transcription Services by submitting a request to TTE via email, in accordance with TTE's transfer instructions ("Transfer Instructions"), which are attached hereto, incorporated by reference herein as Exhibit 2, and made a part hereof. The Rate Sheet and Transfer Instructions may be updated from time to time upon notice from TTE, including by electronic mail to the Client Contact above.
