Common use of Transfer Agent; Transfer Sheets Clause in Contracts

Transfer Agent; Transfer Sheets. For a period of three (3) years after the date of this Agreement, the Company shall retain a transfer agent and registrar acceptable to the Representatives (the “Transfer Agent”) and shall furnish to the Representatives at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representatives may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC. West Coast Stock Transfer, Inc. is acceptable to the Representatives to act as Transfer Agent for the shares of Class B Common Stock.

For a period of three (3) years after the date of this Agreement, the Company shall retain a transfer agent and registrar acceptable to the Representatives Underwriter (the “Transfer Agent”) and shall furnish to the Representatives Underwriter at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representatives Underwriter may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC. West Coast Stock Transfer, Inc. is acceptable to the Representatives Underwriter to act as Transfer Agent for the shares of Class B Common Stock.

For a period of three one (31) years year after the date of this Agreement, the Company shall continue to retain a transfer agent and registrar acceptable to the Representatives Representative (the “Transfer Agent”) and shall furnish to the Representatives Representative at the Company’s sole cost and expense such transfer sheets of the Company’s securities as the Representatives Representative may reasonably request, including the daily and monthly consolidated transfer sheets of the Transfer Agent and DTC. West Coast Stock Transfer, Inc. is acceptable to the Representatives Representative to act as Transfer Agent for the shares of Class B Common Stock.

West Coast Stock Transfer, Inc. is acceptable to the Representatives Placement Agent to act as Transfer Agent for the shares of Class B Common Stock.
