Common use of Transfer of Interest in Transferee Clause in Contracts

Transfer of Interest in Transferee. Guarantor shall not assign, convey or otherwise transfer to any person (a) any of its interest in Transferee unless in connection therewith, Guarantor assigns its rights and obligations hereunder to a guarantor which meets the requirements of Section 10 of the Refunding Agreement; provided that nothing contained in this Section 5 shall be construed to prohibit any merger, consolidation or other corporate restructuring of Transferee or Guarantor so long as the resulting corporation meets the requirements of Section 10 of the Refunding Agreement and assumes the obligations of the corporation merged or consolidated into.
