Transfer of Technical Information. Transfer of Technical Information. Within forty-five (45) days following receipt by Arena of such Assay Transfer Fee, Arena shall make available to Fujisawa a copy of all additional Technical Information owned or possessed by Arena then.
Transfer of Technical Information. The Licensor agrees that the Licensor shall furnish to the Licensee such Technical Information as will enable the Licensee to develop and manufacture the Licensed Products. Transfer of Technical Information. In accordance with a schedule to be set forth in the TSA, Bayer, Intendis and their Affiliates shall transfer to KHL Information and Technology in Bayer’s, Intendis’ and their Affiliates’ possession or control that relate to the Compound or Product (including without limitation clinical, regulatory, commercial and CMC Information). Bayer, Intendis and their Affiliates further shall provide KHL, as specified in the TSA, with all information, and execute all documents, necessary or desirable to transfer to KHL any Regulatory Filings in Bayer’s, Intendis’ or their Affiliates’ name that relate to the Product.
Transfer of Technical Information. 3.1 Upon specific request made by Can-Fxxx to Leiden, at any time during the pendency of this agreement, Leiden will provide all Technical Information that has not previously been disclosed and that is reasonably necessary or desirable to enable Can-Fxxx to exercise its rights under this Agreement or will cause the Inventors to provide such Technical Information. Can-Fxxx can also approach the Inventors directly for such Technical Information.
Transfer of Technical Information. (a) Medvet will within 30 days from the date of this Deed, provide and deliver all of the Technical Information to Angioblast.
(b) The parties acknowledge that Medvet is under an obligation to provide copies of all Technical Information to Mesoblast under the Bone and Cartilage Licence.
Transfer of Technical Information. Without limiting this Section 10.6, Salix shall cooperate with Progenics in transferring to Progenics or a Third Party, as Progenics may direct, within [*] ([*]) days of the termination hereof, all of the Salix Collaboration Know-How and Progenics Confidential Information in the possession of Salix or its Sublicensees, except that Salix may retain one (1) copy of such Salix Collaboration Know-How and Progenics Confidential Information for the sole purpose of performing any continuing obligations hereunder or for archival purposes, but not for any other use or purpose. Salix shall, within [*] ([*]) days of the event giving rise to the termination, transfer to Progenics copies of all data, reports, records and materials in its possession or control that relate to the Products or Compound and return to Progenics, or destroy at Progenics’s request, all relevant records and materials in Salix’s or its Affiliates’ possession or control containing Confidential Information of Progenics.
Transfer of Technical Information. 3.1 MICROSEMI shall commence the transfer of TECHNICAL INFORMATION to MOTOROLA within thirty (30) days after the EFFECTIVE DATE of this Agreement, and shall use its best efforts to complete such transfer within sixty (60) days after such EFFECTIVE DATE. The transfer of each such TECHNICAL INFORMATION shall be complete when all items of Appendix A have been received by MOTOROLA, except for UPDATES, IMPROVEMENTS, and those items conditioned by availability which will be transferred if and when available. Any MICROSEMI TECHNICAL INFORMATION added to Appendix A by MICROSEMI after the EFFECTIVE DATE shall be transferred to MOTOROLA in tangible format within sixty (60) days after MICROSEMI has added it to Appendix A.
3.2 On a continuing basis during the term of this Agreement, each party shall furnish UPDATES to the other party within thirty (30) days after their first successful implementation.
3.3 Notwithstanding the foregoing Section 3.2, in the event that, during the term of this Agreement, either party discovers any defect in a LICENSED PRODUCT such that the LICENSED PRODUCT does not meet the data sheet specification, such party shall routinely inform the other party of such defect within thirty (30) days.
3.4 On a continuing basis during the term of this Agreement, each party shall furnish IMPROVEMENT(s) to the other party within sixty (60) days after their first successful implementation.
3.5 During the term of this Agreement, each party agrees to produce the LICENSED PRODUCT in compliance with mutually agreed upon external package specifications as to “form” and “fit.” Each party agrees not to modify the agreed upon specifications in any way that could adversely affect the external geometry, and the mechanical, thermal, and electrical performance and ratings of the POWERMITE® PACKAGE. Each party agrees and understands that there are no requirements with respect to the internal specifications as to the “function” of the LICENSED PRODUCT.
3.6 As of the EFFECTIVE DATE, the parties agree to the external specifications as set forth in Appendix B of this Agreement.
Transfer of Technical Information. Within forty-five (45) days following the Effective Date, SS Pharmaceutical shall make available to Arena a copy of all Technical Information owned or possessed by SS Pharmaceutical as of the Effective Date.
Transfer of Technical Information. CEPTOR shall provide transfer of TECHNICAL INFORMATION including technical assistance upon reasonable request of JCR without charge to JCR other than reasonable travel expenses, including air travel, hotels, meals, etc. CEPTOR shall provide JCR with periodic updates of TECHNICAL INFORMATION.
