Transferee. Transfer Date (not earlier that the fifth Business Day after the date of delivery of the Transfer Certificate to the Agent):
Transferee. Any person or entity to whom or which any Transfer is made.
Transferee any actual or potential Eligible Assignee, Participant or other Person acquiring an interest in any Obligations.
Transferee. Any new Shareholder, who has heretofore not been a party to the Shareholders Joint Venture Agreement, who acquires his Shares pursuant to the provisions of the Shareholders Joint Venture Agreement, and who thereafter signs and becomes a Party to the Shareholders Joint Venture Agreement.
Transferee. The recipient of a Transfer of Units, including a pledgee or holder of a security interest in Units.
Transferee. A party to which the Project is transferred or assigned in part or in whole under the provisions contained in Section 10.1 of this Agreement.
Transferee. If a transfer occurs by operation of law or contrary to this Agreement's prohibition on certain transfers, and the transferee is not a Permitted Transferee, the transferee shall not have any right to participate in the management of the business and affairs of the Company or become a Member. For purposes of voting, the Membership Interest of the transferring Member shall not be counted in determining whether votes of the Members constitute joint actions. A transferee shall only be entitled to receive the share of profits or other compensation by way of income and the return of contributions to which the transferring Member would otherwise be entitled. Additionally, the transfer shall not relieve a transferring Member of any liability hereunder.
Transferee. The recipient of a Transfer of an Interest, including a pledgee or holder of a security interest in an Interest.
