Treasury Risk Management. AUDIT OR REVIEW The Commission or persons authorised by the Commission may conduct a performance review or audit of the Board/Council at any reasonable time: if the performance of the Board/Council gives rise to reasonable concerns of the Commission; to establish or investigate the Board/Council’s financial viability where the Funds comprise a significant proportion of the Board/Council’s total budget; to investigate allegations or suspected misuse of the Funds; to establish whether Funds have been applied to the Services; and/or as part of the Commission’s Audit and Risk Committee’s Internal Audit Plan. The Board/Council agrees to: co-operate with the Commission in relation to the conduct of any such audit or performance review; permit the Commission or authorised persons to enter its premises and areas within those premises that are used for the Services, whenever the Services are being performed and otherwise at all reasonable times; assist and ensure that any sub-contractor engaged by the Board/Council assists, as requested by the Commission or authorised persons, with audits under this clause 10; and publish on its website or provide on request by any person a copy of its most recent AQTF audit report. DISPUTE RESOLUTION The Parties will use their best endeavours to resolve any disputes or differences prior to employing the dispute resolution procedure provided for in this clause. Dispute Notice A Party claiming that a dispute or disagreement has arisen under this Agreement must give a Dispute Notice to the other Party, specifying the nature of the dispute. A Dispute Notice may be withdrawn at any time by the Party that gave the Dispute Notice.

Treasury Risk Management a. Execute all cash transactions as approved by the Company and support Accounting in related activities b. Maintain all stock programs and support HR & Accounting in the administration of those programs benefiting employees c. Provide risk management for all corporate activities including AR and contractor management programs d. Manage credit facilities, if any, and oversee cash management and other corporate finance related functions, as applicable e. Report to members of Chesapeake Midstream Ventures, L.L.C. and the board of directors of the Company, as necessary or required inclusive of daily cash forecasting f.   • Interest Rate Risk Management Instruments (a) All interest rate swaps, caps, floors and option agreements and other interest rate risk management arrangements to which the Company or any of its Subsidiaries is a party or by which any of their properties or assets may be bound were entered into in the Ordinary Course of Business and in accordance with prudent banking practice and applicable rules, regulations and policies of Company Regulatory Agencies and with counterparties believed to be financially responsible at the time, and are legal, valid and binding obligations enforceable in accordance with their terms (except as may be limited by general principles of equity, whether applied in a court of law or a court of equity, and by bankruptcy, insolvency and similar Laws affecting creditors’ rights and remedies generally), and are in full force and effect. The Company and each of its Subsidiaries has duly performed in all material respects all of its obligations thereunder to the extent that such obligations to perform have accrued; and, to the Knowledge of the Company, there are no breaches, violations or defaults or allegations or assertions of such by any party thereunder.

  • Regulation RR Risk Retention Ford Credit, as Sponsor, and the Depositor agree that (i) Ford Credit will cause the Depositor to, and the Depositor will, retain the Residual Interest on the Closing Date and (ii) Ford Credit will not permit the Depositor to, and the Depositor will not, sell, transfer, finance or hedge the Residual Interest except as permitted by Regulation RR.

  • Patch Management All workstations, laptops and other systems that process and/or 20 store PHI COUNTY discloses to CONTRACTOR or CONTRACTOR creates, receives, maintains, or 21 transmits on behalf of COUNTY must have critical security patches applied, with system reboot if 22 necessary. There must be a documented patch management process which determines installation 23 timeframe based on risk assessment and vendor recommendations. At a maximum, all applicable 24 patches must be installed within thirty (30) calendar or business days of vendor release. Applications 25 and systems that cannot be patched due to operational reasons must have compensatory controls 26 implemented to minimize risk, where possible.

  • Risk Management Instruments Except as would not, individually or in the aggregate, reasonably be expected to have a Company Material Adverse Effect, all derivative instruments, including, swaps, caps, floors and option agreements, whether entered into for the Company’s own account, or for the account of one or more of the Company Subsidiaries or its or their customers, were entered into (i) only in the ordinary course of business, (ii) in accordance with prudent practices and in all material respects with all applicable laws, rules, regulations and regulatory policies and (iii) with counterparties believed to be financially responsible at the time; and each of such instruments constitutes the valid and legally binding obligation of the Company or one of the Company Subsidiaries, enforceable in accordance with its terms, except as may be limited by the Bankruptcy Exceptions. Neither the Company or the Company Subsidiaries, nor, to the knowledge of the Company, any other party thereto, is in breach of any of its obligations under any such agreement or arrangement other than such breaches that would not, individually or in the aggregate, reasonably be expected to have a Company Material Adverse Effect.

  • Removal of the Credit Risk Manager The Credit Risk Manager may be removed as Credit Risk Manager by Certificateholders holding not less than 66 2/3% of the Voting Rights in the Trust Fund, in the exercise of its or their sole discretion. The Certificateholders shall provide written notice of the Credit Risk Manager’s removal to the Trust Administrator. Upon receipt of such notice, the Trust Administrator shall provide written notice to the Credit Risk Manager of its removal, which shall be effective upon receipt of such notice by the Credit Risk Manager.

  • Virus Management DST shall maintain a malware protection program designed to deter malware infections, detect the presence of malware within DST environment.

  • Management, Ownership The Company shall not materially change its ownership, executive staff or management without the prior written consent of the Secured Party. The ownership, executive staff and management of the Company are material factors in the Secured Party's willingness to institute and maintain a lending relationship with the Company.
