Trustee Remuneration. (a) The Trustee is entitled to a fee for services as Trustee of an amount, and payable at such times, as set out in schedule 1, as varied from time to time with the agreement of the Trustee and as approved by:
(i) where there are no Preference Units on issue, a Special Resolution of Unit Holders holding Ordinary Units; and
(ii) where there are Preference Units on issue, a Special Resolution of Unit Holders holding Preference Units.
(b) The Trustee fee may be paid out of income of the Trust and, to the extent necessary, from Calls. The Trustee may also negotiate to receive fees separately from Unit Holders.
(c) The Trustee may accept lower fees than, or waive the entire fee that, the Trustee is entitled to receive under this Deed, or may defer payment for any period. Where payment is deferred, the fee accrues daily (without interest) until paid.
Trustee Remuneration. 3.3.1 The Company shall pay to the Trustee remuneration as mentioned in the offer letter dated 06.04.2021, as may be amended or supplemented from time to time, for their services to act as Debenture Trustee in addition to all legal, travelling and other costs, charges and expenses which the Debenture Trustee or their officers, employees or agents may incur in relation to execution of the trust hereof and all other documents pertaining to Debentures and the remuneration shall continue to be payable until the Debenture Trustee hereof shall be finally discharged and whether or not a receiver or a manager shall have been appointed or the trust hereof shall be in course of administration by or under the direction of the court. The Company shall promptly pay, and in any event before any interest or penalty becomes payable, the fees, duty, Taxes and charges of any nature whatsoever payable in connection with the entry into, registration, performance, enforcement or admissibility in evidence of this Deed and/or any such amendment, supplement or waiver.
3.3.2 The Company shall in case of default in payment of stipulated remuneration as detailed hereinabove pay to the Trustee, penalty at the rate as applicable under the Micro, Small and Medium Enterprises Development Act, 2006, as amended from time to time, until the actual date of payment.
3.3.3 The Company shall provide upfront to the Trustee all legal, travelling, conveyance and other costs, charges and expenses to be incurred by them, their officers, employees, advisors, experts, consultants or their agents in connection with execution of these presents including costs, charges, expenses of and incidental to the approval and execution of these presents and all other documents affecting the Security herein and the Company hereby agrees to indemnify the Trustee against all actions, proceedings, costs, charges, expenses, claims and demands whatsoever which may be brought or made against or incurred by them in respect of any matter or thing done or omitted to be done without their wilful default in respect of or in relation to the Secured Assets and the Transaction Documents.
3.3.4 The Company shall reimburse all sums paid or expenses incurred by the Trustee or any receiver, attorney, agent or other person appointed by the Trustee for all or any of the purposes mentioned in these presents immediately on receipt of a notice of demand from them in this behalf and all such sums shall carry interest at the rate of inter...
Trustee Remuneration. Refers to the remuneration that the trustee collects when managing this Trust.
Trustee Remuneration a. The Company shall pay to the Debenture Trustee remuneration as provided for in the Debenture Trusteeship Agreement.
b. The Company shall in the event of default in payment of stipulated remuneration as detailed hereinabove pay to the Debenture Trustee on the expiry of 45 (Forty-Five) days from the invoice date for payment, in addition to the stipulated Debenture Trustee remuneration as detailed hereinabove, penalty at the rate of 18% per annum, compounded on a monthly basis on the defaulted amounts, during the period of default.
c. The Company shall reimburse the Debenture Trustee actual out of pocket expenses as may be claimed towards documentation, legal fees, travelling and conveyance incurred by them, their officers, employees or their agents in connection with execution of these presents and the Company hereby agrees to indemnify the Debenture Trustee against all actions, proceedings, costs, charges, expenses, claims (including any third party claims) and demands whatsoever which may be brought or made against or incurred by them in respect of any matter or thing done or omitted to be done without their wilful default in respect of or in relation to the Security and these presents including an occurrence of an event of default in terms of the Transaction Documents or any breach by the Company of applicable Laws which materially affects the execution of or breach of the Transaction Documents.
Trustee Remuneration. 8.2.1 The Trustee shall be entitled to a monthly remuneration out of the Fund Property based on an annual tariff of charges annexed hereto (Annexure C), which shall be applied to the average daily Net Assets during such calendar month. The remuneration shall begin to accrue from the date of close of Initial Offer. For any period other than a full calendar month such remuneration will be prorated on the basis of the actual number of days for which such remuneration has accrued for the total number of days in the calendar month concerned.
8.2.2 Such remuneration shall be paid to the Trustee in arrears within thirty days after the end of each calendar month.
8.2.3 In consideration of the foregoing and save as aforesaid the Trustee shall be responsible for the payment of all expenses incurred by the Trustee from time to time in connection with their duties as Trustee of the Trust. The Trustee shall not make any charge against the Certificate Holders or against the Fund Property or against the Distribution Account for their services or for their expenses, except such expenses as are expressly authorized to be paid out of the Fund Property under the provisions of the Rules and this Deed.
8.2.4 The Trustee shall bear all expenditures in respect of its secretarial and office space and professional management, including all accounting and administrative services provided in accordance with the provisions of this Deed.
8.2.5 Any increase in the remuneration of the Trustee agreed to by the Investment Advisor shall require the approval of the Commission.
Trustee Remuneration. 3.1 The Company shall pay to the Trustee remuneration as mentioned in the offer letter dated 21st October 2014, as may be amended or supplemented from time to time.
3.2 The Company shall in case of default in payment of stipulated remuneration as detailed hereinabove pay to the Trustee on the expiry of 30 (thirty) days from the invoice date for payment, in addition to the stipulated Trustee remuneration as detailed hereinabove, penalty at the rate of 12% (twelve per cent) per annum on the defaulted amounts, during the period of default
3.3 The Company shall reimburse the Trustee all legal, travelling, conveyance and other costs, charges and expenses incurred by them, their officers, employees or their agents in connection with execution of these presents and subject to approval for sums higher than Rs. 10000/-, and subject to proof (hereof) including costs, charges, expenses of and incidental to the approval and execution of these presents and all other documents affecting the Security herein and the Company hereby agrees to indemnify the Trustee against all actions, proceedings, costs, charges, expanses, claims and demands whatsoever which may be brought or made against or incurred by them in respect of any matter or thing done or omitted to be done without their wilful default in respect of or in relation to the Secured Assets and the Transaction Documents.
Trustee Remuneration. The Board of Trustees, by majority resolution and confirmed by a Resolution of the Chief and Council of the Onion Lake Cree Nation, shall from time to time determine and cause to be paid from Trust Income only the remuneration / honoraria and reimbursements reasonably payable to Trustees acting as members of the Board of Trustees, to Trustees attending any meeting of the Board of Trustees, to Trustees acting as members of any committee of the Board of Trustees, to Trustees acting as officers of the Trust, providing always that such remuneration and reimbursement be fair and reasonable.
