UCC and Lien Searches. Searches of the Uniform Commercial Code, Tax lien and other records as Lender may require.
UCC and Lien Searches. The Administrative Agent shall have received appropriate UCC search certificates for the Parent, the Borrower and each Guarantor in its jurisdiction of organization, and any other jurisdiction reasonably requested by the Administrative Agent, reflecting no prior liens or security interests encumbering the Collateral other than those being assigned or released on or prior to the Effective Date and those permitted by Section 6.02.
UCC and Lien Searches. Full uniform commercial code, federal and state tax lien, bankruptcy, judgment and pending litigation searches, performed by a search company and in jurisdictions satisfactory to Agent, with respect to the Borrower and the Sole Member and disclosing no matters objectionable to Agent.

Seller shall have delivered to Buyer, at --------------------- the Companies' expense, at least two (2) business days prior to the Closing Date, lien searches, to be conducted by Capital Services, Inc. or another professional search firm, dated not more than twenty (20) days prior to the Closing Date showing all UCC-1 financing statements filed with any filing offices wherein any of the Companies (and any entity disclosed on Schedule 4.1) ------------- is named a debtor, all federal, state or local Tax Liens filed against any of the Companies, all unsatisfied judgments naming any of the Companies as a judgment debtor (collectively, the "Liens and Judgments") and all pending ------------------- litigation in which any of the Companies is a defendant in Brazoria County, Polk County, Xxxxxx County, Xxxxxxx County and Galveston County, Texas.
UCC and Lien Searches. Buyer shall, at its sole cost and expense, obtain copies of written reports of UCC and judgment lien searches in each jurisdiction in which Seller or UMSI is organized or in which assets thereof are located, such reports to be dated within ten days of the Closing Date. Seller and UMSI represent and warrant that all of the assets of Seller and UMSI are located in Fairfax County, Virginia.

The Collateral Agent shall have received (i) the UCC Searches, all dated reasonably close to the Closing Date, in the discretion of the Collateral Agent and in form and substance satisfactory to the Collateral Agent and (ii) evidence reasonably satisfactory to the Collateral Agent that the Liens indicated by the financing statements in such UCC Searches are permitted by Section 7.2.3 or have been released.

The Global Administrative Agent shall have received (i) the UCC Searches, all dated reasonably close to the Closing Date, requested by the Global Administrative Agent and in form and substance satisfactory to the Global Administrative Agent, (ii) evidence reasonably satisfactory to the Global Administrative Agent that the Liens indicated by the financing statements (or similar documents) in such UCC Searches are Permitted Encumbrances or have been released (or assigned to either the Global Administrative Agent or Canadian Administrative Agent), and (iii) title due diligence in form and substance acceptable to the Global Administrative Agent and other evidence of ownership regarding the ownership by the Borrower and its Subsidiaries of the Borrowing Base Properties.

The Administrative Agent and the Security Agent shall have received, in form and substance satisfactory to the Administrative Agent and Security Agent (i) searches of UCC filings in the jurisdiction of incorporation or formation, as applicable, of each Loan Party dated a recent date, copies of the financing statements on file in such jurisdictions and evidence that no Liens exist other than Permitted Liens, (ii) searches of the United States Patent and Trademark Office and United States Copyright Office dated a recent date, copies of the lien notices or comparable documents on file that name any Loan Party as debtor, and evidence that no Liens exist other than Permitted Liens, (iii) tax lien, judgment and bankruptcy searches for each Loan Party dated a recent date and evidence that no Liens exist other than Permitted Liens, and (iv) such other searches that are required by the Perfection Certificate or that the Administrative Agent and the Security Agent deems necessary or appropriate, and evidence that no Liens exist other than Permitted Liens.

Agent shall have received a complete search of the records of each filing office located in the U.S. where a financing statement, judgment Lien, tax Lien or other Lien naming any Loan Party, any Limited Partner or any Seller as debtor must be filed to perfect Agent’s security interest or Lien, for the benefit of Lenders, in any of the Collateral, which searches shall be satisfactory to Agent;
