Unauthorized Uses. Customer agrees that (i) the activities described in Section 5a.i and Section 5a.ii (Limitations on Use) (A) are, without limitation, part of the bargained for conditions of sale of the Products, (B) are not included within the Customer Use or the Research Use or otherwise within the rights expressly provided to Customer pursuant to Section 3 (Rights Accompanying Purchase), and (C) each, including restrictions against the use of the Product to perform any of those activities, is an unauthorized use, may infringe Illumina Intellectual Property Rights, and is part of the bargained for conditions of sale of the Products; and (ii) any violation of or breach of any provision of this Section 5 or any use of the Products outside the scope of the rights expressly granted to Customer in Section 3 (Rights Accompanying Purchase) is a breach of this Agreement.
Unauthorized Uses. Distributor shall not knowingly sublicense SUPPLIER’S Images for use in an unlawful, obscene, pornographic, offensive or defamatory manner.
Unauthorized Uses. Broker/Subscriber and/or Website Vendor will not make copies of the Confidential Information. Broker/Subscriber and/or Website Vendor will not directly or indirectly disclose, display, provide, transfer, or otherwise make available the Confidential Information to any person or entity, unless Broker/Subscriber and/or Website Vendor has received prior written consent from WPML to do so. At no time and under no circumstances will Broker/Subscriber and/or Website Vendor reverse engineer, decompile, or disassemble any software constituting part of the Confidential Information. Broker/Subscriber and/or Website Vendor will not incorporate the Confidential Information into any other work or product.
Unauthorized Uses. Tenant shall limit its uses of the Premises to the Aeronautical Uses and Incidental Nonaeronautical Uses described in this Exhibit G. Use of the leased premises for nonaeronautical uses beyond Incidental Nonaeronautical Uses described in this Exhibit G, shall immediately alter this Lease Agreement as follows:
a. The term of this Lease Agreement shall revert to a month to month lease, terminable by the City upon 30 days notice to Tenant.
b. Tenant shall be required to pay fair market value rent, as determined by the airport manager, effective from the date the unauthorized use commenced.
Unauthorized Uses. If Licensee transfers, sells or distributes to any unauthorized third party any artwork, voice clips, or other Fox proprietary materials related to the Property including but not limited to Marketing Materials, then Fox may terminate this Agreement forthwith on written notice without any cure period.
Unauthorized Uses. It is the policy of the Employer to take corrective and/or disciplinary action for unauthorized use of sick leave and/or abuse of sick leave. Unauthorized use of sick leave shall include the following:
1. failure to properly notify supervisor of medical absence;
2. failure to complete standard sick leave form;
3. failure to provide physician verification when required;
4. fraudulent physician verification;
Unauthorized Uses. Except as provided under Authorized Uses above, the Licensee shall not knowingly permit anyone other than Authorized Users to use the Licensed Materials. Licensee shall not modify, translate, the Licensed Materials without the written permission of the AACR. Licensee may not download, mount or create a derivative work of the Licensed Materials on any system or network, including, without limitation the internet and the World Wide Web. Licensee may not systematically make print or electronic copies of multiple extracts or make multiple copies of any part of the Licensed Materials for any purpose other than as expressly permitted by this License. Licensee may not publish, distribute or make available the Licensed Materials, works based on the Licensed Material or works which combine them with any other material, other than as permitted in this License. Licensee shall not modify, remove, or obscure any copyright notices or other notices included in the Licensed Materials. Licensee may not alter, abridge, adapt or modify the Licensed Materials, except to the extent necessary to make them perceptible on a computer screen to Authorized users. For the avoidance of doubt, no alteration of the words or their order is permitted. Licensee may not use the Licensed Materials for Commercial Use purposes, including but not limited to sale of the Licensed Materials or bulk reproduction or distribution of the Licensed Materials in any form. Licensee is prohibited from making agreements for access to the Licensed Materials with individuals, organizations, vendors, affiliates or partners which are not departments of the Licensee. Licensee affirms that all IP addresses are specifically controlled by Licensee for workstations/computers under its administrative control and for the use of Authorized Users. Licensee is responsible for maintaining the list of IP addresses of all Authorized Users.
Unauthorized Uses. The Products are not designed, intended, authorized, or warranted for use or inclusion in life support, financial institution, Government, aeronautical, aerospace, military, or nuclear applications, or FDA Class III or other devices for which FDA premarket approval is required, implantable devices or in life support or life endangering applications where failure or inaccuracy might cause death or personal injury. Products shall not be used for automotive or transportation applications or environments unless the specific Product has been designated by Seller as compliant with ISO/TS 16949 requirements. Products shall not be used if they have been subjected to operating or environmental conditions in excess of limits established in the Specifications or otherwise has been subjected to static, failure to ground properly, accident, mishandling, damage, misuse, abuse, neglect, alteration, or improper or unauthorized testing, installation or repair. Any unauthorized sale, use or inclusion by Buyer or any of its direct or indirect customers is fully at Buyer’s risk and voids any and all of Seller’s obligations and warranties.
Unauthorized Uses. (a) The APC Software is not intended or authorized for use in anti-personnel landmines, and Licencee agrees that it will not be used for this purpose. Upon request from APC, Licencee will furnish a written certification that it shall not use or permit the use of the APC Software in anti-personnel landmines.
(b) The APC Software are not designed to be fail-safe and are therefore not warranted for use as the principal mechanism in life-support applications, devices, or systems or other applications that invoke potential risks of death, personal injury, or severe property or environmental damage. Use of the APC Software materials in such critical applications is understood to be fully at Licensee’s own risk.
(c) If Licencee permits the uses of APC Software for the foregoing unintended or unauthorized uses, Licencee shall fully indemnify, defend, and hold harmless APC, its Affiliates, subsidiaries, officers and directors, employees, and distributors from all liability related to such use, including attorneys' fees and costs.
Unauthorized Uses. Any use not mentioned on the Order Form will be considered illegitimate. It is absolutely prohibited to use the Photographic Artworks beyond the agreements made during written negotiations and contained in the Conditions of Use illustrated on the Site. It is absolutely prohibited to place the Photographic Artworks on-line (for example on the internet) and/or on digital support (such as, by way of example, CD ROM and/or any other current or future telematic support invented) without prior written notification and the approval of the Licensor. It is absolutely prohibited to use the Photographic Artworks for advertising campaigns or press releases on paper or digital support without the consensus of the Licensor in writing. ADL reserves the right to take legal action against the Licensee in the event of the illegitimate and/or unauthorized use of the Photographic Artworks which may have detrimental moral or economic consequences. The Licensee undertakes not to perform the following actions as regards the Photographic Artworks without the prior written authorization of ADL: superimpose them, trim them or join them to other Photographic Artworks; associate them with wording or other symbols that substantially change the subject or meaning of the Photographic Artworks; manipulate them in the sense of resizing them, extrapolate details from them or alter their qualitative composition; associate them with any form of pornography; harm their integrity in any way; loan them; hire them, sell them as well as transfer them onto CD, BBS or use them in any other form of on-line service. Failure to pay the invoice by the established date is considered a breach of this agreement and may lead to legal action.
