Underlying Agreement. “Underlying Agreement” means the County contract for goods or services made through the County’s procurement office which the parties have entered into and which the County has determined requires the execution of this Business Associate Agreement.
Underlying Agreement. “Underlying Agreement” shall mean the Agreement between the County and the Business Associate, to which this Addendum is attached and incorporated.
Underlying Agreement. “Underlying Agreement” shall mean that certain , effective , 20 , by and between the Parties, including any and all subsequent amendments thereto.
Underlying Agreement. “Underlying Agreement” refers to the agreement(s) or arrangement(s) made by and between Covered Entity and Business Associate for certain services as described within the Underlying Agreement (“Services”). Any provision of the Underlying Agreement(s), including all exhibits or other attachments thereto and all documents incorporated therein by reference, that is directly contradictory to one or more terms of this BAA ("Contradictory Term"), shall be superseded by the terms of this BAA to the extent and only to the extent of the contradiction and only to the extent that it is reasonably impossible to comply with both the Contradictory Term and the terms of this BAA.
Underlying Agreement. “Underlying Agreement” shall mean that certain agreement by which Business Associate provides certain services to Covered Entity and, in connection with those services, Covered Entity discloses to Business Associate certain individually identifiable PHI that is subject to protection under HIPAA.
Underlying Agreement. Except as specifically required to implement the purposes of this BAA, to the extent inconsistent with this BAA, all terms of the Underlying Agreement shall remain in full force and effect. In the event of a conflict between the terms of the Underlying Agreement and this BAA, this BAA shall control.
Underlying Agreement. The parties hereto acknowledge that (i) this Agreement is intended to supersede and therefore, terminate the Underlying Agreement, (ii) that, as of the date hereof, the Underlying Agreement and any and all amendments or addenda thereto shall be of no further force or effect, including any and all provisions therein intended to survive the termination of such agreement and (iii) that neither the Company nor Consultant have any further obligations pursuant to the Underlying Agreement and any and all amendments or addenda thereto. The Company acknowledges and agrees that is shall pay Consultant in accordance with his current payment schedule pursuant to the Underlying Agreement through the Effective Date.
Underlying Agreement. “Underlying Agreement” means any written contract for services between Covered Entity and Business Associate.
Underlying Agreement. This Warrant is issued in furtherance of the terms of that certain “Stock Purchase And Share Subscription Agreement” executed by and between the Company and the Investor dated December 23rd, 2021. This Warrant is effective as of the Issuance Date.
