Unpaid Compensation. Regardless of the reason for Executive’s termination of employment, in addition to any benefits that may be payable to Executive hereunder, Executive will be entitled to: (a) base salary earned but unpaid through Executive’s last date of employment; (b) incentive pay as yet unpaid from the prior years and the year of termination, prorated for the period of Executive’s actual employment prior to termination, consistent with applicable plan documents; (c) benefits to which Executive is independently entitled under the terms of the Company’s salaried employee benefit plans and (d) vesting of outstanding equity grants (if any) consistent with the applicable Stock Plan and any grant agreements executed by Executive.
Unpaid Compensation. On or promptly after the effective date of termination under this Section 3.2, (i) Consultant will be paid all unpaid Compensation due to Consultant under this Agreement and all then unreimbursed expenses due to Consultant under this Agreement, and (ii) Consultant will deliver to Company all property of Company in the possession of Consultant, including, but without limitation tangible Confidential Information of Company in Consultant’s possession, as required by Section 5.1. 3.4
Unpaid Compensation. Respondent shall pay unpaid compensation and interest to employees totaling $AMOUNT, as outlined in Attachment _, less applicable and lawful withholdings. Respondent shall make the checks payable to current and former employees.
Unpaid Compensation. On or promptly after the effective date of termination under this Section 3.2, (i) Consultant will be paid all unpaid Compensation due to Consultant under this Agreement and all then unreimbursed expenses due to Consultant under this Agreement, and (ii) Consultant will deliver to Company all property of Company in the possession of Consultant, including, but without limitation tangible Confidential Information of Company in Consultant's possession, as required by Section 5.1. Renewals and Extensions: Unless earlier terminated by Company or Consultant pursuant to Section 3.2, this Agreement will continue in effect after the last day of the Initial Term until the earlier of (a) termination by Company or Consultant pursuant to Section 3.2 or (b) the first anniversary of the Effective Date, on which date this Agreement will terminate unless further extended in writing by Company and Consultant.
Unpaid Compensation. Total Salary of Executive, which has accrued but has not been paid prior to the termination, shall be paid to Executive.
Unpaid Compensation. In addition to and notwithstanding any other payments provided under this Agreement, including thisss.5, upon his termination, regardless of the reason or cause therefor, Gray shall be paid any and all xxxned or accrued but unpaid benefits and compensation including, without limitation, reimbursement for incurred expenses, and any bonus compensation earned but unpaid as of the effective date of such termination.
Unpaid Compensation. In addition to any other payments provided for in this Article IV, upon termination Employee shall be paid in accordance with APS policy for accrued but unused leave and other earned but unpaid benefits or compensation, including, without limitation, disability payments, reimbursement for incurred expenses and any bonus or other benefit awarded pursuant to Section 3.02 and 3.03 of this Agreement that has not yet been fully paid to Employee.
Unpaid Compensation. The Parties agree that the Executive is eligible to receive an annual bonus in respect of Cronos Group’s 2019 fiscal year in the amount of US $473,000 (“2019 STI Award”) and a 2020 long-term incentive award grant in the amount of US $985,000 (calculated using the closing price of Cronos Group’s common shares on the NASDAQ Global Market on the trading day immediately preceding the Effective Date) (the “2020 LTI Grant”), the payments of which were deferred during the Investigation. Such unpaid compensation in the foregoing sentence shall be released upon the conclusion of such Investigation, as determined by the Board in its sole discretion, subject to the Payment Condition.
