Common use of Update of Information Clause in Contracts

Update of Information. Each of the representations made by the Company in this Section 2.4 shall be deemed made and given on the Agreement Date and continuously thereafter until the Closing. During the period from the Agreement Date until the Closing, the Company shall give Buyer within a reasonable time after the Company determines that any representation made in this Section 2.4 would cease to be correct if such representation were made on such date, contains any untrue statement of a material fact or omits to state a material fact necessary to make such representation not misleading. To be effective, each such notice shall (a) identify, by section reference, the representation as to which the notice relates, (b) correctly restate the representation, and (c) if applicable, be accompanied by an amendment to any Section of the Disclosure Schedule that identifies the exceptions to the representation.

Each Subject to Section 2.4, each of the representations made by the Company Buyer in this Section 2.4 2.2 shall be deemed made and given on the Agreement Date and continuously thereafter until the Closing. During the period from the Agreement Date until the Closing, the Company Buyer promptly shall give the Shareholders written notice at such times as Buyer within a reasonable time after the Company determines that any representation made in this Section 2.4 2.2 would cease to be correct if such representation were made on such date, contains any untrue statement of a material fact or omits to state a material fact necessary to make such representation not misleading. During the period from the Agreement Date until the Closing, the Company Buyer promptly shall give Owner written notice at such times as Buyer within a reasonable time after the Company determines that any representation made in this Section 2.4 2.2 would cease to be correct if such representation were made on such date, contains any untrue statement of a material fact or omits to state a material fact necessary to make such representation not misleading. To be effective, each such notice shall (a) identify, by section reference, the representation as to which the notice relates, and (b) correctly restate the representation, and (c) if applicable, be accompanied by an amendment to any Section of the Disclosure Schedule that identifies the exceptions to the representation.

During the period from the Agreement Date until the Closing, the Company Shareholders shall promptly give Buyer within a reasonable time after the Company determines written notice at such times as Shareholders determine that any representation made in this Section 2.4 2.3 would cease to be correct if such representation were made on such date, contains any untrue statement of a material fact or omits to state a material fact necessary to make such representation not misleading.
