Updating of Representations and Warranties. Between the date hereof and the Closing Date, Innkeepers will promptly disclose to Contributor in writing any information of which any of them has actual knowledge (a) concerning any event that would render any representation or warranty of any of them untrue if made as to the date of such event, (b) which renders any information set forth in the Agreement no longer correct in all material respects, or (c) which arises after the date hereof and which would have been required to be included in the Agreement if such information had existed on the date hereof. Each of the representations, warranties and covenants contained in this Article IV and its various subparagraphs are intended for the benefit of the Contributor and may be waived in whole or in part, by the Contributor, but only by an instrument in writing signed by the Contributor. Each of the representations and warranties of Buyer contained in this Agreement shall be true and correct in all material respects, as of and with reference to the Closing Date, with the same force and effect as though such representations and warranties had been made on and as of the Closing Date, and with reference to such date. Buyer shall have performed and complied with all obligations, covenants and conditions required by this Agreement to be performed or complied with by it prior to or on the Closing Date.

(a) Between the date of this Agreement and the Closing Date, USD shall give notice to The Noteholders promptly upon their becoming aware of (a) any inaccuracy of a representation or warranty set forth in Section 3 or in the Schedules hereto as given by USD or (b) any event or state of facts that, if it had occurred or existed on or prior to the date of this Agreement, would have caused any such representation or warranty to be materially inaccurate, any such notice to describe such inaccuracy, event or state of facts in reasonable detail.
