Use by Affiliates Clause Samples
Use by Affiliates. Subject to the Volume Limitations, Customer may make the Service available to its Affiliates under these terms, provided that Customer is liable for any breach of this Agreement by any of its Affiliates. “Affiliate(s)” means any entity now existing that is directly or indirectly controlled by Customer. For purposes of this definition “control” means the direct possession of a majority of the outstanding voting securities of an entity.
Use by Affiliates. Registered Affiliate may sublicense the right to use the Products ordered under this Program Agreement to any Affiliates, but Affiliates may not sublicense these rights and their use must be consistent with the terms of this Program Agreement.
Use by Affiliates. Subject to the terms and conditions of the Agreement and of this Attachment 2, Customer’s Affiliates may use the licenses granted to Customer, provided that: (a) such use is only for the aggregate benefit of Customer and its Affiliates; (b) Customer remains responsible for each such Affiliate’s compliance with the terms and conditions of this Agreement and of each Order Form; (c) subject to the following subsection (d), use of the Cloud Offerings by all Affiliates and Customer in the aggregate must be within the restrictions in the applicable Order Form; and (d) notwithstanding the foregoing, Affiliates may not use Customer’s rights under any unlimited VCore (or other unlimited quantity) licenses unless Affiliate usage is specifically designated in the applicable Order Form.
Use by Affiliates. Customer is entitled to make the Services, the iManage Software, and Documentation available to Authorized Users of its Affiliates provided that: (a) Customer will be responsible for the Fees and all acts and omissions of its Affiliates (and their Authorized Users); (b) Customer is liable for ensuring that its Affiliates (and their Authorized Users) comply with the terms of this Agreement; and (c) Customer shall ensure that any rights or remedies arising in connection with this Agreement will be actionable against iManage solely by Customer and not by any Affiliate except that Customer will be entitled to treat Losses of its Affiliates as if they are Losses of Customer.
Use by Affiliates. Client's Affiliates may license Software or procure Services from TRITAN by executing an Order in the same manner as the Client. When one of Client's Affiliates is licensing Software or procuring Services pursuant to an Order, all references in this Master Agreement, including references in the relevant Order, to "Client" shall also refer to such Affiliate.
Use by Affiliates. Subject to the terms and conditions of the Agreement and of this Attachment 1, End Customer’s Affiliates may use the licenses granted to End Customer, provided that: (a) such use is only for the aggregate benefit of End Customer and its Affiliates; (b) End Customer remains responsible for each such Affiliate’s compliance with the terms and conditions of this Agreement and of each Order Form; (c) End Customer provides MuleSoft advance written notice of each such Affiliate usage; (d) subject to the following subsection (e), use of the Software by all Affiliates and End Customer in the aggregate must be within the restrictions in the applicable Order Form; and (e) notwithstanding the foregoing, Affiliates may not use End Customer’s rights under any “enterprise wide” or unlimited Core (or other unlimited quantity) licenses unless Affiliate usage is specifically designated in the applicable Order Form.
Use by Affiliates. Customer’s Affiliates may purchase subscriptions directly from WorkFusion based on this Cloud Services Agreement. Customer may allow its Affiliates to use and access the Cloud Services, only if, and as specified in, an Order Form, and subject to Section 5.3.
Use by Affiliates. Where specified in a Sales Order, Customer may allow its Affiliates to use and access the Products and Services.
Use by Affiliates. Notwithstanding anything herein to the contrary, Lessee may from time to time during the Term permit Affiliates of the Lessee to occupy portions of the Property and Lessor acknowledges and agrees to the same.
Use by Affiliates. Customer Affiliates may (i) access and use the Services as End Users, subject to the terms of Customer’s Order Form so long as Customer remains responsible for the Affiliates’ compliance with the Agreement and the applicable Order Form, or (ii) execute a separate Order Form that incorporates this Services Schedule by reference.
