USE OF CERTAIN SELLER TRADEMARKS. (a) Subject to the terms of this Section 5.3, Seller hereby grants to Buyer a non-exclusive, non-transferable, non- sublicenseable right to use the trademarks set forth on SCHEDULE 5.3 (the "Seller Marks"). Buyer acknowledges and agrees that, other than as provided for in this Section 5.3, it is not obtaining any rights or licenses with respect to any name, marks, logo, trade dress or design owned by Seller or its Affiliates. Buyer shall cease and shall cause the Company to cease any and all use of the Seller Marks as soon as practicable after the Closing Date, but not more than thirty days after the Closing Date; PROVIDED, HOWEVER, that with respect to stationery, contracts, purchase orders, agreements and other business forms and writings which could result after the Closing Date in a legal commitment of Seller or any of its Affiliates, Buyer shall cease and shall cause the Company to cease within ten Business Days after the Closing Date any use of the Seller Marks. (b) Buyer may use the Seller Marks for the time period provided in Section 5.3(a) but only to the extent and in the manner used by the Company in connection with the Business as operated by the Company immediately prior to the Closing Date and any such use shall be in accordance with all applicable Laws, conform to at least the standards of quality prevailing in the Business as of the date hereof, and not be offensive, disparaging or misleading as to the origin or quality of the services provided in the Business. Any such use shall also be subject to Seller's trademark quality control and usage guidelines then in effect. In no event may Buyer use the Seller Marks, directly or indirectly, in any way that would jeopardize, dilute or otherwise adversely affect the Seller Marks and Buyer shall not attack, dispute or challenge (nor aid or encourage others to do so) Seller's exclusive right, title and interest in and to the Seller Marks, or the validity of the Seller Marks. (c) As soon as reasonably practicable, but in any event not later than ninety days after the Closing Date, Buyer shall cause the Company to change its corporate, popular, fictitious business, trade and domain names and any similar designations to new names that do not include a Seller Mxxx and are not similar in appearance, sound or commercial impression to a Seller Mxxx and thereafter shall not use and shall cause the Company not to use or include any of the Seller Marks or a name similar in appearance, sound or commercial impr...

USE OF CERTAIN SELLER TRADEMARKS. (a) Buyer acknowledges and agrees that, other than as provided for in this Section 5.5, it is not obtaining any rights or licenses with respect to the names "Lockheed Xxxxxx Corporation," "Lockheed Corporation," "Xxxxxx Xxxxxxxx Corporation," "Loral Corporation" "COMSAT Corporation" or any confusingly similar derivative thereof or associated logos or trade dress (the "Seller Marks"). Buyer shall discontinue use of the Seller Marks as soon as practicable after the Closing Date, but not more than 60 days after the Closing Date; provided, however, that with respect to stationery, contracts, purchase orders, agreements and other business forms and writings which could result after the Closing Date in a legal commitment of Seller or any of its Affiliates, Buyer will cease within 45 days after the Closing Date any use of the Seller Marks, except to the extent that applicable Law requires such Person to continue such use until such name change is effected, in which case until such time. Within 45 days after the Closing Date, Buyer shall notify, in writing, all customers, suppliers and financial institutions having current business relationships with the Business and the GM Contract Assets that the Business and the GM Contract Assets have been acquired from Seller by Buyer. Notwithstanding the foregoing, Buyer shall not be required to remove and shall have the right to use any of the Seller Marks in the same manner used prior to the Closing to the extent that such marks are embedded in any software programs developed prior to the Closing Date and licensed or ASSET PURCHASE AGREEMENT 40 EXECUTION VERSION sublicensed by Buyer or are included in any employee training manuals, operating procedures manuals or other similar internal documents used in the Business and the operation of the GM Contract Assets as of the Closing Date.

  • Survival of Certain Terms The provisions of Sections 4.1 (a), ------------------------- 4.2 (a) (i), 4.2(b)(i), 4.3, 5.4, 5.5, 6, 7.1, 7.2, 7.3, 8, 9, and 10 will survive the expiration or termination of this Agreement for any reason. All other rights and obligations of the parties will cease upon expiration or termination of this Agreement.

  • Exclusion of Certain Warrants The Company agrees that the redemption rights provided in Section 6.1 shall not apply to the Private Placement Warrants, the Working Capital Warrants or the Post-IPO Warrants (if such Post-IPO Warrants provide that they are non-redeemable by the Company) if at the time of the redemption such Private Placement Warrants, Working Capital Warrants or Post-IPO Warrants continue to be held by the Sponsor or any Permitted Transferees, as applicable. However, once such Private Placement Warrants, Working Capital Warrants or Post-IPO Warrants are transferred (other than to Permitted Transferees under Section 2.6), the Company may redeem the Private Placement Warrants, the Working Capital Warrants or the Post-IPO Warrants (if the Post-IPO Warrants permit such redemption by their terms) pursuant to Section 6.1 hereof, provided that the criteria for redemption are met, including the opportunity of the holder of such Private Placement Warrants, Working Capital Warrants or Post-IPO Warrants to exercise the Private Placement Warrants, the Working Capital Warrants or the Post-IPO Warrants prior to redemption pursuant to Section 6.1. The Private Placement Warrants, the Working Capital Warrants or the Post-IPO Warrants (if such Post-IPO Warrants provide that they are non-redeemable by the Company) that are transferred to persons other than Permitted Transferees shall upon such transfer cease to be Private Placement Warrants, Working Capital Warrants or Post-IPO Warrants and shall become Public Warrants under this Agreement.

  • Exclusion of Certain Damages TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • Absence of Certain Agreements Neither Parent nor any of its Affiliates has entered into any agreement, arrangement or understanding (in each case, whether oral or written), or authorized, committed or agreed to enter into any agreement, arrangement or understanding (in each case, whether oral or written), pursuant to which: (i) (A) any stockholder of the Company (other than Parent and its Affiliates) would be entitled to receive consideration of a different amount or nature than the Per Share Merger Consideration, (B) except as set forth in Section 6.13, any stockholder of the Company agrees to vote to adopt this Agreement or the Merger or any stockholder of the Company agrees to vote against any Superior Proposal; or (ii) any current employee of the Company has agreed to (x) remain as an employee of the Company or any of its Subsidiaries following the Effective Time (other than pursuant to any employment Contracts in effect as of the date of this Agreement), (y) contribute or rollover any portion of such employee’s Shares, Company Stock Options, Company Restricted Stock and/or Phantom Stock Units to the Company or its Subsidiaries or Parent or any of its Affiliates or (z) receive any capital stock or equity securities of the Company or any of its Subsidiaries or Parent or any of its Affiliates.

  • Absence of Certain Business Practices Neither the Seller, nor any Affiliate of the Seller, nor to the knowledge of the Seller, any agent or employee of the Seller, any other Person acting on behalf of or associated with the Seller, or any individual related to any of the foregoing Persons, acting alone or together, has: (a) received, directly or indirectly, any rebates, payments, commissions, promotional allowances or any other economic benefits, regardless of their nature or type, from any customer, supplier, trading company, shipping company, governmental employee or other Person with whom the Seller has done business directly or indirectly; or (b) directly or indirectly, given or agreed to give any gift or similar benefit to any customer, supplier, trading company, shipping company, governmental employee or other Person who is or may be in a position to help or hinder the business of the Seller (or assist the Seller in connection with any actual or proposed transaction) which (i) may subject the Seller to any damage or penalty in any civil, criminal or governmental litigation or proceeding, (ii) if not given in the past, may have had an adverse effect on the Seller or (iii) if not continued in the future, may adversely affect the assets, business, operations or prospects of the Seller or subject the Seller to suit or penalty in any private or governmental litigation or proceeding.

  • PROVISION OF CERTAIN INFORMATION BY SUBADVISER The Subadviser will promptly notify the Adviser in writing of the occurrence of any of the following events: a. the Subadviser fails to be registered as an investment adviser under the Investment Advisers Act or under the laws of any jurisdiction in which the Subadviser is required to be registered as an investment adviser in order to perform its obligations under this Agreement; b. the Subadviser is served or otherwise receives notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, involving the affairs of the Trust; and c. any change in actual control or management of the Subadviser or the portfolio manager of any Portfolio.
