Use of Licensed Materials Sample Clauses

Use of Licensed MaterialsSubject to the terms, conditions and prohibitions of this Agreement, DESIGN PROFESSIONAL shall be entitled to use the information contained in the Licensed Materials to accomplish the scope of services provided by DESIGN PROFESSIONAL. At the completion of the Agreement, DESIGN PROFESSIONAL shall return all materials to the CITY, and shall permanently remove the Licensed Materials from any media used by DESIGN PROFESSIONAL. At the end of the Agreement, DESIGN PROFESSIONAL shall provide a written certification that all materials are returned and that all Licensed Materials, including copies, have been removed from the equipment or media of DESIGN PROFESSIONAL.
Use of Licensed MaterialsThe Licensed Materials may be used by Authorised Users for the purposes of research, teaching, and private study only, and not for any Commercial Use.
Use of Licensed Materials. ADVISOR may use FOMO’s trademarks and other promotional materials involving FOMO’s products (collectively, “Licensed Materials”) to the extent reasonably necessary to render the Services. All uses of Licensed Materials shall be in accordance with such reasonable specifications and requirements as FOMO may periodically prescribe in writing. Any proposed use of any Licensed Materials that is essentially the same as, and does not materially differ from, a prior approved use shall be deemed acceptable to FOMO; provided, however, that ADVISOR shall provide FOMO with specimens of such use sufficiently in advance to allow FOMO an effective opportunity to object. Subject only to the foregoing authorization, FOMO shall retain all right, title and interest arising under all applicable laws, rules, and regulations in and to the Licensed Materials.
Use of Licensed Materials. ADVISOR may use HMLA’s trademarks and other promotional materials involving HMLA’s products (collectively, “Licensed Materials”) to the extent reasonably necessary to render the Services. All uses of Licensed Materials shall be in accordance with such reasonable specifications and requirements as HMLA may periodically prescribe in writing. Use of Licensed Materials. If Supplier is to use any software or other material licensed to Company or any Company Affiliate by a third party, such use must be permitted by and shall be subject to any restrictions in the applicable license. Supplier may be required to execute a confidentiality agreement, sublicense or other appropriate agreement with Company, Company Affiliate and/or such third party prior to such use.
Use of Licensed MaterialsThis Agreement governs your use of the following (each case as modified from time to time), all of which collectively are the “Licensed Materials”: (a) the Universal Credit Application; (b) the UCA Interface; (c) information related to websites hosted on the Licensor Services; (d) content posted to the Licensor Services; (e) Universal Credit Application user profile information; and (f) any other content or material made available through or about the Universal Credit Application or UCA Interface, including UCA Content.
Use of Licensed MaterialsThis Agreement governs the use by Licensee of the following, all of which collectively are the “Licensed Materials”: (a) the application programming interface (“API”) of Joyent Cloud Portal and any accompanying or related documentation, source code, executable applications and other materials (collectively, the “Joyent Cloud Portal API”), including, but not limited to, as made available through Joyent’s code repository (the “Developer Website”), as modified from time to time.
Use of Licensed MaterialsLicensee may use the Licensed Materials for the Purposes. Licensee shall not create derivative works of the Licensed Materials or otherwise alter, adapt, modify or translate the Licensed Materials in any way for any purpose except the purposes expressly permitted by this Agreement. Licensee shall not incorporate component files of the Software into any other product.
Use of Licensed MaterialsThis Agreement governs your use of the following, all of which collectively are the "Licensed Materials", to develop applications: (a) Fixflo's application programming interface ("API") and any accompanying or related documentation, source code, executable applications and other materials (collectively, the "Fixflo API"), including, but not limited to, as made available through Fixflo's website (the "Fixflo Website"), as modified from time to time; and (b) any other content or material made available through the Fixflo API (the "Content").
Use of Licensed MaterialsConduct of Business You agree (i) to conduct business at all times in a manner that reflects favorably on the NILD Educational Therapy® program and the goodwill and reputation of NILD; (ii) to not engage in deceptive, misleading or unethical practices; (iii) to refrain from making any representations, warranties, or guarantees to customers, students, or any other party that are inconsistent with any policies or representations of NILD; and (iv) to comply with all applicable law. Without limiting the above, You agree to not misrepresent Your authorization status or Your level of related skill and knowledge. Ownership This Agreement does not transfer title to or ownership of the Licensed Material to You. NILD retains all title and ownership of all intellectual property rights in the Licensed Materials, the NILD Educational Therapy® program, the NILD trademark and logo, and all related materials. NILD does not transfer any portion of such title and ownership, and this Agreement does not grant You any right or license except as expressly provided. All Licensed Materials are protected by U.S. Copyright law, the Berne Convention for the Protection of Literary and Artistic Works, and other international treaties, conventions, or agreements.
