Uses of Services. The Service Provider will be required to provide the Services only to the Service Recipient and the Service Recipient’s Subsidiaries in connection with the Service Recipient’s operation of the Business. The Service Recipient may not resell any Services to any Person whatsoever or permit the use of such Services by any Person other than in connection with the operation of the Business in the ordinary course of business.
Uses of Services. No Recipient shall resell any Services to any Person whatsoever or permit the use of the Services by any Person other than in connection with such Recipient’s operation of its business substantially as conducted during the Reference Period.
Uses of Services. Seller shall be required to provide Services only to Buyer in connection with the Buyer's operation of the Business. Buyer shall not resell any Services to any Person whatsoever or permit the use of the Services by any Person other than in connection with the operation of the Business in the ordinary course by Buyer and its subsidiaries.
Uses of Services. The Centre may utilize the Musicians in the following types of services:
a) For indoor concerts in the National Capital area and on tour.
b) 1. For outdoor concerts in the National Capital area and on tour.
Uses of Services. Provider shall be required to provide Services only to Recipient in connection with Recipient’s operation of the Vistana Business substantially as conducted as of the Effective Date. Recipient shall not resell any Services to any Person whatsoever or permit the use of the Services by any Person other than its Affiliates in connection with Recipient’s operation of the Vistana Business.
Uses of Services. The Service Provider will be required to provide the Services only to the Service Recipient and the Service Recipient’s Subsidiaries in connection with the Service Recipient’s operation of the SpinCo Business or CES Business, as applicable. The Service Recipient may not resell any Services to any Person whatsoever or permit the use of such Services by any Person other than in connection with (a) the operation of the SpinCo Business or CES Business, as applicable, in the ordinary course of business or (b) effecting the Separation.
Uses of Services. Seller shall be required to provide Services only to the Company in connection with the Company’s operation of the Business. Subject to Section 3.1(d), the Services shall be used by Buyer only for the purposes of either conducting the Business substantially in the manner as conducted by the Company and the Company Subsidiaries immediately prior to the Closing Date or transferring the Business from Seller to Buyer, and shall not be used for any other purposes, except as may otherwise be agreed to by Seller in writing. The Company shall not resell any Services to any Person whatsoever or permit the use of the Services by any Person other than in connection with the operation of the Business in the ordinary course by the Company.
Uses of Services. Provider will be required to provide the Services only to Recipient in connection with its operation of the Business from and after Completion. Seller shall procure that Recipient does not resell any Services to any Person whatsoever or permit the use of the Services by any Person other than in connection with the Business (including any aspects of the Business that remain with Seller’s Group following Completion) in the ordinary course of business by Seller.
Uses of Services. The Centre may utilize the Musicians in the following types of services:
Uses of Services. 7.1. The Customer shall not (and shall procure that all users of the Services for whom the Customer is responsible pursuant to Clause 7.4 below shall not):
7.1.1. use the Services, Software, Opus Sites, or Opus Equipment in any way that knowingly breaches any applicable Laws, or act or omit to act in any way which will place Opus in breach of any applicable Laws; and/or
7.1.2. use the Services, Software, Opus Sites or Opus Equipment in any way that would knowingly constitute or contribute to the commission of a crime, tort, fraud or other unlawful activity pursuant to applicable Laws; and/or
7.1.3. allow any third party not authorised by the Customer access to, or use of the Customer Equipment, the Opus Equipment, the Opus Sites or the Services and shall take reasonable security measures consistent with good industry practice to prevent the same; and/or
7.1.4. add to, modify or interfere in any way with the Software, Opus Equipment, any equipment which is not Customer Equipment, or the Services other than with Opus’s permission or in accordance with Opus’s instructions; and/or
7.1.5. use the Software, Opus Sites, the Opus Equipment, the Customer Equipment, or the Services in any way that would or may be harmful or detrimental to the reputation of Opus and/or its suppliers.
7.2. The Customer warrants that it will take all reasonable steps, to ensure that any material and/or communication received, transmitted, hosted or otherwise processed using the Services (other than material and/or communications to the extent they are unsolicited) will not be for example, menacing, of a junk-mail or spam-like nature, illegal, threatening, defamatory, discriminatory, promote illegal or unlawful activity, be otherwise actionable or in breach of any Laws, particularly section 127 of the Communications Act 2003, to which the use of the Services is subject, or infringe the Intellectual Property rights of Opus or any third party.
7.3. The Customer shall indemnify and keep Opus indemnified and hold Opus harmless from and against all losses, liabilities, damages, costs, claims, demands and expenses arising out of, or in relation to, any breach by the Customer (including any user of the Services for whom the Customer is responsible pursuant to Clause 7.4 below or the end user) of the provisions of Clauses 7.1.1 to 7.1.5 and/or any use of the Services in connection with the transmission of prohibited content in breach of the Customer’s obligations pursuant to Clause 7.2 above un...
