VALIDITY OF OP UNITS. The OP Units, when issued and delivered pursuant to the terms of this Agreement for the consideration described in this Agreement, will be validly issued by the Operating Partnership, free and clear of all Liens created by the Operating Partnership or the Company (other than Liens created by the Agreement of Limited Partnership of the Operating Partnership (as amended and restated from time to time, the “Operating Partnership Agreement”), this Agreement, the Escrow Agreement, the Lock-up Agreement and under applicable securities laws).
