Common use of Value of Consideration Shares Clause in Contracts

Value of Consideration Shares. 2.1.1. For the purpose of the conversion of any amount expressed in USD into a certain number of CONSIDERATION SHARES or vice-versa, each CONSIDERATION SHARE shall be deemed to be worth USD 58.30 (or, after CLOSING, such other amount as adjusted for stock splits, stock dividends and other recapitalizations taking place after CLOSING). Fractions of CONSIDERATION SHARES shall be rounded to the nearest whole number, and the difference paid or deducted from amounts otherwise payable in cash, as the case may be. 2.1.2. If ENTRUST calls upon the ESCROW as a security in connection with a DEFECT, the actual market value of the CONSIDERATION SHARES, and not the value set pursuant to the previous Sec. 2.1.1. shall determine the number of CONSIDERATION SHARES to be attributed to ENTRUST.
