(B) AGREE THAT VENUE SHALL BE PROPER IN ANY COURT OF COMPETENT JURISDICTION LOCATED IN COLUMBUS, OHIO; AND
(C) WAIVE ANY RIGHT EACH MAY HAVE TO ASSERT THE DOCTRINE OF FORUM NON CONVENIENS OR TO OBJECT TO VENUE TO THE EXTENT ANY PROCEEDING IS BROUGHT IN ACCORDANCE WITH THIS PARAGRAPH.

EasyLink and ATT each hereby irrevocably: (1) consent to the jurisdiction of any state or federal court sitting in the State of Florida; (2) agree that venue shall be proper in any court of competent jurisdiction located in the Borough of Manhattan, the City and State of New York; and (3) waive the right to trial by jury on any controversy arising out of or relating to this Agreement or the Lease.
VENUE; JURISDICTION; JURY TRIAL WAIVER. LENDER AND BORROWER EACH HEREBY IRREVOCABLY:

EasyLink and Fleet each hereby irrevocably: (1) consent to the jurisdiction of any state or federal court sitting in the City of New York, Borough of Manhattan, State of New York; (2) agree that non-exclusive venue shall be proper in any court of competent jurisdiction located in the City of New York, Borough of Manhattan, State of New York; and (3) waive the right to trial by jury on any controversy arising out of or relating to this Agreement or the Leases.
VENUE; JURISDICTION; JURY TRIAL WAIVER. LENDER, AND BORROWER EACH HEREBY IRREVOCABLY WAIVE THEIR RIGHT TO TRIAL BY JURY IN ANY CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE MASTER AGREEMENT, AND/OR THE LOAN DOCUMENTS.

EasyLink and GATX each hereby irrevocably: (1) consent to the jurisdiction of any state or federal court sitting in the State of Florida; (2) agree that venue shall be proper in any court of competent jurisdiction located in Hillsborough County, Florida; and (3) waive the right to trial by jury on any controversy arising out of or relating to this Agreement or the Lease.

THE HALLMARK LENDERS AND BORROWER EACH HEREBY UNCONDITIONALLY AND IRREVOCABLY: (A) CONSENT TO THE JURISDICTION OF ANY STATE OR FEDERAL COURT SITTING IN THE STATE OF NEW YORK; (B) AGREE THAT VENUE SHALL BE PROPER IN ANY COURT OF COMPETENT JURISDICTION LOCATED IN THE STATE OF NEW YORK; AND (C) WAIVE THEIR RIGHT TO TRIAL BY JURY IN ANY CONTROVERSY ARISING OUT OF OR RELATING TO ANY LOAN DOCUMENT(S).
VENUE; JURISDICTION; JURY TRIAL WAIVER. LENDER, DEBTOR AND GUARANTORS, AND EACH OF THEM, HEREBY:
8.13.1 CONSENT TO THE JURISDICTION OF ANY STATE OR FEDERAL COURT LOCATED IN CALIFORNIA,
8.13.2 AGREE THAT THE EXCLUSIVE VENUE OF ANY PROCEEDING RESPECTING THIS AGREEMENT, THE RIGHTS AND OBLIGATIONS OF THE PARTIES UNDER THIS AGREEMENT, AND OF ANY DISPUTE BETWEEN THE LENDER, EACH BORROWER AND EACH GUARANTOR, SHALL BE A COURT OF COMPETENT JURISDICTION LOCATED IN SAN BERNARDINO COUNTY, CALIFORNIA; AND
8.13.3 IRREVOCABLY WAIVE THEIR RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING BASED UPON, OR RELATED TO, THE SUBJECT NATTER OF THE LOAN AGREEMENT OR ANY OTHER LOAN DOCUMENT OR THE INDEBTEDNESS. THE FOREGOING WAIVER OF TRIAL BY JURY IS KNOWINGLY, INTENTIONALLY, AND VOLUNTARILY MADE BY DEBTOR, GUARANTORS, AND LENDER, AND EACH OF THEM ACKNOWLEDGES THAT LENDER NOR ANY PERSON ACTING ON BEHALF OF LENDER HAS MADE ANY REPRESENTATIONS OF FACT TO INDUCE THIS WAIVER OF TRIAL BY JURY OR IN ANY WAY TO MODIFY OR NULLIFY ITS EFFECT. LENDER, DEBTOR AND GUARANTORS FURTHER ACKNOWLEDGE THAT THEY HAVE BEEN REPRESENTED IN THE NEGOTIATION AND EXECUTION OF THIS AGREEMENT AND IN THE MAKING OF THIS WAIVER BY INDEPENDENT LEGAL COUNSEL, SELECTED OF THEIR OWN FREE WILL, AND THAT THEY HAVE HAD THE OPPORTUNITY TO DISCUSS THIS WAIVER WITH COUNSEL. VENUE; JURISDICTION; JURY TRIAL WAIVER. This Agreement shall be governed by the laws of the State of Arizona, and any legal action concerning the provisions hereof shall be brought in the County of Yavapai, State of Arizona. Both parties hereby waive any right to a jury trial which they may otherwise have in the event of litigation arising out of this Agreement or the subject matter thereof and consent to a trial to the court.
VENUE; JURISDICTION; JURY TRIAL WAIVER. PFC and OTR hereby:
(i) Consent to the jurisdiction of any State or Federal Court located in the State of Washington or the State of Kansas; (ii) Irrevocably waive their right to a jury trial in any action or proceeding based upon, or related to, the subject matter of the LOAN DOCUMENTS or the INDEBTEDNESS. The foregoing waiver of trial by jury is knowingly, intentionally, and voluntarily made by OTR and PFC. Each acknowledges that neither PFC nor any person acting on behalf of PFC has made any representations of fact to induce this waiver of trial by jury or in any way to modify or nullify its effect. OTR further acknowledges that it has been represented (or has had the opportunity to be represented) in the signing of this AGREEMENT and in the making of this waiver by independent legal counsel, selected of its own free will, and that they have had the opportunity to discuss this waiver with counsel. OTR further acknowledges that it has read and understands the meaning and ramification of this provision.
