Venue; Jurisdiction; Jury Trial Waiver. THE BANK AND THE COMPANY HEREBY IRREVOCABLY:
(A) CONSENT TO THE JURISDICTION OF ANY STATE OR FEDERAL COURT SITTING IN COLUMBUS, OHIO;
(B) AGREE THAT VENUE SHALL BE PROPER IN ANY COURT OF COMPETENT JURISDICTION LOCATED IN COLUMBUS, OHIO; AND
(C) WAIVE ANY RIGHT EACH MAY HAVE TO ASSERT THE DOCTRINE OF FORUM NON CONVENIENS OR TO OBJECT TO VENUE TO THE EXTENT ANY PROCEEDING IS BROUGHT IN ACCORDANCE WITH THIS PARAGRAPH.

EasyLink and ATT each hereby irrevocably: (1) consent to the jurisdiction of any state or federal court sitting in the State of Florida; (2) agree that venue shall be proper in any court of competent jurisdiction located in the Borough of Manhattan, the City and State of New York; and (3) waive the right to trial by jury on any controversy arising out of or relating to this Agreement or the Lease.

EasyLink and Holder each hereby irrevocably: (1) consent to the jurisdiction of any state or federal court sitting in the State of New York; (2) agree that venue shall be proper in any court of competent jurisdiction located in the Borough of Manhattan, the City and State of New York; and (3) waive the right to trial by jury on any controversy arising out of or relating to this Agreement.
Venue; Jurisdiction; Jury Trial Waiver. LENDER AND BORROWER EACH HEREBY IRREVOCABLY:
(A) CONSENT TO THE JURISDICTION OF ANY STATE OR FEDEXXX XXXXX XXXXXXX XX XXXXXX XXXXXX, XXXXX;
(B) AGREE THAT VENUE SHALL BE PROPER IN ANY COURT OF COMPETENT JURISDICTION LOCATED IN DALLAS COUNTY, TEXAS; AND
(C) WAIVE THEIR RIGHT TO TRIAL BY JURY IN ANY CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SECURITY AGREEMENT OR THE RELATED DOCUMENTS.
Venue; Jurisdiction; Jury Trial Waiver. LENDER, AND BORROWER EACH HEREBY IRREVOCABLY WAIVE THEIR RIGHT TO TRIAL BY JURY IN ANY CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE MASTER AGREEMENT, AND/OR THE LOAN DOCUMENTS.

THE HALLMARK LENDERS AND BORROWER EACH HEREBY UNCONDITIONALLY AND IRREVOCABLY: (A) CONSENT TO THE JURISDICTION OF ANY STATE OR FEDERAL COURT SITTING IN THE STATE OF NEW YORK; (B) AGREE THAT VENUE SHALL BE PROPER IN ANY COURT OF COMPETENT JURISDICTION LOCATED IN THE STATE OF NEW YORK; AND (C) WAIVE THEIR RIGHT TO TRIAL BY JURY IN ANY CONTROVERSY ARISING OUT OF OR RELATING TO ANY LOAN DOCUMENT(S).

EasyLink and GATX each hereby irrevocably: (1) consent to the jurisdiction of any state or federal court sitting in the State of Florida; (2) agree that venue shall be proper in any court of competent jurisdiction located in Hillsborough County, Florida; and (3) waive the right to trial by jury on any controversy arising out of or relating to this Agreement or the Lease.
Venue; Jurisdiction; Jury Trial Waiver. Foothill and NMT, and each of them, hereby:
6.3.1 Consent to the jurisdiction of any state or federal court located in California;
6.3.2 Agree that the exclusive venue of any proceeding respecting this Agreement, the rights and obligations of the parties under this Agreement, and of any dispute between Foothill and NMT, shall be a court of competent jurisdiction located in Los Angeles County, California; and
6.3.3 IRREVOCABLY WAIVE THEIR RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING BASED UPON, OR RELATED TO, THE SUBJECT MATTER OF THE CREDIT AGREEMENT OR ANY OTHER LOAN DOCUMENT OR THE INDEBTEDNESS. THE FOREGOING WAIVER OF TRIAL BY JURY IS KNOWINGLY, INTENTIONALLY, AND VOLUNTARILY MADE BY FOOTHILL AND NMT, AND EACH OF THEM ACKNOWLEDGES THAT FOOTHILL NOR ANY PERSON ACTING ON BEHALF OF FOOTHILL HAS MADE ANY REPRESENTATIONS OF FACT TO INDUCE THIS WAIVER OF TRIAL BY JURY OR IN ANY WAY TO MODIFY OR NULLIFY ITS EFFECT. FOOTHILL AND NMT FURTHER ACKNOWLEDGE THAT THEY HAVE BEEN REPRESENTED IN THE NEGOTIATION AND EXECUTION OF THIS AGREEMENT AND IN THE MAKING OF THIS WAIVER BY INDEPENDENT LEGAL COUNSEL, SELECTED OF THEIR OWN FREE WILL, AND THAT THEY HAVE HAD THE OPPORTUNITY TO DISCUSS THIS WAIVER WITH COUNSEL. FOOTHILL AND NMT FURTHER ACKNOWLEDGE THAT THEY HAVE READ AND UNDERSTAND THE MEANING AND RAMIFICATION OF THIS PROVISION.

EasyLink and LTI each hereby irrevocably: (1) consent to the jurisdiction of any state or federal court sitting in the City of New York, Borough of Manhattan, State of New York; (2) agree that venue shall be proper in any court of competent jurisdiction located in the City of New York, Borough of Manhattan, State of New York; and (3) waive the right to trial by jury on any controversy arising out of or relating to this Agreement or the Lease.

EasyLink and MicroTech each hereby irrevocably: (1) consent to the jurisdiction of any state or federal court sitting in the City of New York, Borough of Manhattan, State of New York; (2) agree that venue shall be proper in any court of competent jurisdiction located in the City of New York, Borough of Manhattan, State of New York; and (3) waive the right to trial by jury on any controversy arising out of or relating to this Agreement or the Lease.
