Voting Under the Underlying Trust Agreement. In the event that there shall be any matter arising under the Underlying Trust Agreement that requires the vote of holders of certificates outstanding thereunder, the Trustee as the holder of the related Underlying Certificates shall vote such Underlying Certificates in such amounts and proportions as shall reflect instructions received from Holders of Certificates of the related Class or Classes. In the absence of any such instructions, the Trustee shall vote in a manner consistent, in the sole judgment of the Trustee, with the best interests of Holders of Certificates outstanding thereunder.

In the absence of any such instructions, the Trustee shall vote in a manner consistent, in the sole judgment of the Trustee, with the best interests of Holders of the related Certificates outstanding hereunder. The manner of soliciting such instructions shall be subject to such reasonable regulations as the Trustee may prescribe.

In the absence of any such instructions, the Trustee shall vote in a manner consistent, in the sole judgment of the Trustee, with the best interests of Holders of Certificates outstanding hereunder. The manner of soliciting such instructions shall be subject to such reasonable regulations as the Trustee may prescribe.

  • Event of Default Under Any Trust Indenture; Amendments to Any Trust Indenture; Waiver In the event that, as to any MBS, there shall be a Default Under the Trust Indenture or an Event of Default Under the Trust Indenture, the Holders of the Certificates of the related Classes may, in the event that the Trustee shall not take any such action on their behalf, give such notice and take such action as certificateholders under such Trust Indenture shall be permitted to take in respect thereof. Similar direction shall be required in order for the Trustee to waive compliance with any provision of a Trust Indenture where the vote of certificateholders is required pursuant to Section 11.02 (or any similar provision) thereof.

  • Registration and Registration of Transfer of Residual Certificates (a) Xxxxxx Mae shall cause to be kept at the office or agency to be maintained by it pursuant to Section 5.05 hereof, a register (the “Certificate Register”) in which, subject to such reasonable regulations as it may prescribe, Xxxxxx Xxx shall provide for the registration of the Residual Certificates and the registration of transfers of the Residual Certificates. Xxxxxx Mae hereby initially appoints State Street Bank and Trust Company at its Corporate Trust Office as Certificate Registrar and Transfer Agent for the purpose of registration of the Residual Certificates and transfers thereof, as provided herein. The Trust shall not elect to be treated as an association under Treasury Regulations Section 301.7701-3(a). The parties agree that, unless otherwise required by appropriate tax authorities, the sole Certificateholder or the Trust, as applicable, will file or cause to be filed annual or other necessary returns, reports and other forms consistent with the foregoing characterization of the Trust for such tax purposes.
