Waiver by Vendor. The conditions set forth in section 4.2 of this Agreement are for theexclusive benefit of the Vendor and the Vendor may waive the conditions in whole or inpart by delivering to the Purchaser at or before the Time of Closing a written waiver to that effect stated to be made pursuant to this section and executed by the Vendor.
Waiver by Vendor. The conditions precedent referred to in paragraph 6.3 are inserted for the exclusive benefit of the Vendor and may be waived in whole or in part by the Vendor at any time prior to Closing by delivering to the Purchaser written notice to that effect. If any of the said conditions are not complied with or performed to the Vendor's reasonable satisfaction on or before the Closing Date or compliance is not waived in writing by the Vendor, then the Vendor shall be relieved of his obligations to consummate the Closing.
Waiver by Vendor. The conditions in Section 5.07 may be waived in whole or in part by the Vendor without prejudice to any right of rescission or any other right in the event of non-fulfillment of any other condition or conditions. A waiver will be binding only if it is in writing.
Waiver by Vendor. The Vendor waives and may not enforce any right which he may have in respect of any misrepresentation, inaccuracy or omission in or from any information or advice supplied or given by any of the officers, employees and/or advisers of the Group Companies, in enabling the Vendor to give the Warranties.
Waiver by Vendor. The conditions set out in this Section 11.2 may be waived by the Vendor in whole or in part by a written document to such effect duly signed thereby.
Waiver by Vendor. Vendor may, at its option, waive in whole or in part any or all of the provisions herein for the benefit of Vendor.
Waiver by Vendor. To the extent permitted by applicable Law, the conditions set forth in Section 4.2 may be waived in whole or in part by Vendor by instrument in writing in compliance with Section 8.6 given to Parent and Buyer, without prejudice to any of Vendor’s rights of termination in the event of non-performance of any other condition, obligation or covenant in whole or in part, and without prejudice to its right to complete the transaction of purchase and sale contemplated by this Agreement and claim damages for breach of representation, warranty or covenant.

Waiver by Vendor. If any of the conditions set forth in Section 6.2 have not been fulfilled, performed or satisfied at or prior to the Closing, the Vendor may, by written notice to the Purchaser, terminate all of its obligations hereunder and the Vendor shall be released from all its obligations under this Agreement. Any of such conditions may be waived in whole or in part by the Vendor by instrument in writing given to the Purchaser, without prejudice to any of the Vendor's rights of termination in the event of non-performance of any other condition, obligation or covenant in whole or in part, and without prejudice to its right to complete the transaction of purchase and sale contemplated by this Agreement and claim damages for breach of representation, warranty or covenant.
Waiver by Vendor. Vendor agrees that the Producer shall not be responsible for any loss or damage to any property of Vendor resulting from fire, theft or any other cause and, except to the extent expressly provided herein, Vendor expressly assumes all risks of loss, damage or destruction of or to any of its property resulting from any cause whatsoever.
