Waiver of any Priming Rights. Other than the Carve-Out or as otherwise provided in the Orders, the Borrower hereby irrevocably waives any right, pursuant to sections 364(c) or 364(d) of the Bankruptcy Code or otherwise, to grant any Lien that is greater, equal or junior in priority to the Postpetition Liens securing the Postpetition Obligations, or to approve or grant a claim of equal or superior priority than the Postpetition Obligations, in and on all now existing and hereafter acquired assets of any kind or nature of the Borrower.
