Common use of Warranties and Representations True as of Closing Date Clause in Contracts

Warranties and Representations True as of Closing Date. (a) The warranties and representations contained in Section 2 shall (except as affected by transactions contemplated by this Agreement) be true in all material respects on the Closing Date with the same effect as though made on and as of that date. (b) The Company shall not have taken any action or permitted any condition to exist which would have been prohibited by Section 7 hereof if such Section had been binding and effective at all times during the period from March 31, 1992 to and including the Closing Date.
