The representations and warranties of Purchaser contained herein shall be accurate, true and correct in all material respects on and as of the date hereof, except those made as of a specified date (in which case such representations and warranties of Purchaser shall have been accurate, true, and correct in all material respects as of such date (other than representations and warranties qualified by materiality, which shall be accurate in all respects as of such date).

The representations and warranties of Purchaser contained herein shall be accurate, true and correct in all material respects on and as of the date hereof and as of the RFCIL Closing Date, except those made as of a specified date (in which case such representations and warranties of Purchaser shall have been accurate, true, and correct in all material respects as of such date (other than representations and warranties qualified by materiality, which shall be accurate, true and correct in all respects as of such date).
