With respect to custom Consumables (i.e., Consumables made to specifications or designs made by Purchaser or provided to Seller by, or on behalf of, Purchaser), Seller only warrants that the custom Consumables will be made and tested in accordance with Seller’s standard manufacturing and quality control processes. Seller makes no warranty that custom Consumables will work as intended by Purchaser or for Purchaser’s intended uses.

Warranty for Consumables. Illumina warrants that TG Consumables, other than custom TG Consumables, will have no less than […***…] shelf-life at the time of shipment from Illumina and conform to their Specifications until the later of (i) […***…] from the date of shipment from Illumina, and (ii) […***…] by Illumina, but in no event later than […***…] from the date of shipment. Warranty for Consumables. Illumina warrants that, for a period of ninety (90) days from the date of delivery of any Consumable (excluding Custom Oligo Pools and Custom Arrays), such Consumable will conform to Illumina’s Specifications in effect as of the date of delivery. This limited warranty extends only to Customer, as original purchaser unless otherwise agreed upon in writing by Illumina. As to both Standard Oligo Pools, Custom Oligo Pools and oligos used in the manufacture of Custom Arrays, Illumina only warrants to Customer that the individual oligos incorporated into such oligo products shall be (a) manufactured substantially in accordance with all applicable laws and regulations, (b) undergo Illumina’s standard quality control procedures, and (c) conform with the oligo specifications set forth on the relevant purchase order at the time of shipment. The foregoing warranties shall not apply if any such Consumable (a) has been subjected to abuse, misuse, neglect, negligence, accident, improper testing, improper installation, improper storage, improper handling or use contrary to any instructions issued by Illumina, (b) has been repaired, altered, disassembled or reassembled, (c) has not been operated, repaired and maintained in accordance with the Documentation, (d) has failed due to an act of God, including but not limited to fire, flood, tornado, earthquake, hurricane, lightning, threat of or actual acts of terrorism or war, or (e) has been used with any third party good not provided under this or any other agreement with Illumina. If during the ninety (90) day warranty period for any Consumable (a) Illumina is notified promptly in writing upon discovery of any failure of such Consumable to conform to the warranty set forth in this Section, (b) such Consumable is returned, transportation charges prepaid, to Illumina’s designated manufacturing facility in accordance with Illumina’s then-current return procedures, as set forth by Illumina from time to time, and (c) Illumina’s inspections and tests determine that such Consumable indeed fails to conform and has not been subjected to any of the conditions set forth in this Pub No. 000-0000-000 GOODS Europe 22OCT08 Section, then, as Customer’s sole remedy and Illumina’s sole obligation under the foregoing warranty, Illumina will, at Illumina’s option, repair or replace without charge such Consumable. Warranty for Consumables. DIAMETRICS warrants to PHILIPS that the Consumables at the time of their delivery by DIAMETRICS to PHILIPS (a) shall meet the agreed specifications as set forth on Exhibit 1.5; (b) shall have been manufactured in accordance with all laws and regulations applicable to their manufacture in those jurisdictions in which PHILIPS is distributing the Consumables (provided that PHILIPS gives DIAMETRICS at least ninety (90) days written notice of any jurisdictions in addition to those in effect as of the Effective Date of this Amendment); (c) shall be new or newly manufactured; and (d) shall be of good and merchantable title, free of liens and encumbrances. DIAMETRICS shall, promptly, at DIAMETRICS' sole option, replace, repair or make a purchase price (in the amount paid by PHILIPS to DIAMETRICS) refund for any of such Consumables proved to be non-conforming, provided that written notice and reasonable documented evidence of each warranty claim and the fact that the failure occurred during the warranty period is received by DIAMETRICS within thirty (30) days after the expiration thereof. DIAMETRICS shall have the sole right to verify such non-conformance. Such replacement, repair or refund shall be PHILIPS' sole remedy hereunder. Unless otherwise agreed by the Parties, the warranty period under this Section 5.1 for (1) any Sensor shall be the stated shelf life as set forth on the label for such Sensor, not to be less than ten (10) months from the date of shipment to PHILIPS; (2) any Cartridge shall be the stated shelf life as set forth on the label for such Cartridge, not less than three (3) months from the date of shipment to PHILIPS, except that the shelf life of the GL & H4 (M3587A & M3617A)) Cartridge shall be not less than nine (9) weeks and the shelf life of H4E (M3617B) Cartridge shall be not less than eleven (11) weeks; and (3) any Accessory shall be ninety (90) days from the date of shipment to PHILIPS. If requested by DIAMETRICS, PHILIPS shall return the non-conforming Consumable to DIAMETRICS at the time of submission of the warranty claim therefore. PHILIPS agrees to provide DIAMETRICS sufficient notice of additional countries in which it intends to distribute the Consumables to permit DIAMETRICS to meet its obligations under subsection (b) of this Section 5.1.

  • Consumables During the design phase, Purchaser may participate in the selection of suppliers of consumables of the Supplier. In such case, the choice regarding the final selection of the said suppliers shall be mutually agreed between the Parties. Two suppliers shall be identified and selected for each type of consumables.

  • Accessories, Spare Parts and Tools Accessories, spare parts and tools dispatched with a piece of equipment, machine, apparatus or vehicle, which are part of the normal equipment and included in the price thereof or which are not separately invoiced, shall be regarded as one with the piece of equipment, machine, apparatus or vehicle in question.

  • Hardware Warranty Company warrants that for a period of one (1) year from delivery of Hardware, Hardware will be free from defects in material and workmanship in normal use, but does not cover any of the following: (i) improper installation, maintenance, adjustment, repair or modification by Customer or a third party; (ii) misuse, neglect, or any other cause other than ordinary use, including without limitation, accidents or acts of God; (iii) improper environment, excessive or inadequate heating or air conditioning, electrical power failures, surges, water damage or other irregularities; (iv) third party software or software drivers; or (v) damage during shipment.

  • Tooling Unless otherwise specified in this Agreement, all tooling and/or all other articles required for the performance hereof shall be furnished by Seller, maintained in good condition and replaced when necessary at Seller's expense.   • Packaging Materials and Containers for Retail Sale 1. When packaging materials and containers in which a good is packaged for retail sales are classified in the Harmonized System with the good, they shall not be taken into account in determining whether all non-originating materials used in the production of the good undergo the applicable change in tariff classification set out in Annex 4.03. 2. When the good is subject to a requirement of regional value content, the value of these packaging materials and containers shall be taken into account as originating or non-originating materials, as the case may be, in calculating the regional value content of the good.

  • WARRANTY – SERVICES The Contractor warrants and represents that all services to be provided the City under the Contract will be fully and timely performed in a good and workmanlike manner in accordance with generally accepted industry standards and practices, the terms, conditions, and covenants of the Contract, and all applicable Federal, State and local laws, rules or regulations. A. The Contractor may not limit, exclude or disclaim the foregoing warranty or any warranty implied by law, and any attempt to do so shall be without force or effect. B. Unless otherwise specified in the Contract, the warranty period shall be at least one year from the Acceptance Date. If during the warranty period, one or more of the above warranties are breached, the Contractor shall promptly upon receipt of demand perform the services again in accordance with above standard at no additional cost to the City. All costs incidental to such additional performance shall be borne by the Contractor. The City shall endeavor to give the Contractor written notice of the breach of warranty within thirty (30) calendar days of discovery of the breach warranty, but failure to give timely notice shall not impair the City’s rights under this section. C. If the Contractor is unable or unwilling to perform its services in accordance with the above standard as required by the City, then in addition to any other available remedy, the City may reduce the amount of services it may be required to purchase under the Contract from the Contractor, and purchase conforming services from other sources. In such event, the Contractor shall pay to the City upon demand the increased cost, if any, incurred by the City to procure such services from another source.
