With respect to the Borrower. (a) a legal representation that the Framework Agreement has been duly authorized or ratified by the Borrower and is legally binding upon the Borrower in accordance with its terms; and
With respect to the Borrower. 1.2.1 A Certified Copy of a resolution of the board of directors of the Borrower:

(i) the certificate of limited partnership of the Borrower certified, as of a date no more than twenty (20) days prior to the Closing Date, by the Secretary of State of its state of organization; (ii) a certificate of existence or good standing, dated no more than twenty (20) days prior to the Closing Date, from the respective Secretary of State of its state of organization and the primary state in which the Borrower conducts business and is required to qualify, or represents that it is qualified, to do business; (iii) a certificate of the Secretary of the general partner of the Borrower certifying as of the Closing Date: (A) the names and true signatures of the persons authorized on behalf of the Borrower to sign this Agreement, (B) a copy of the Borrower's partnership agreement, and (C) a copy of the resolutions of the corporate general partner(s) of the Borrower approving the Basic Documents to which it is a party and the transactions contemplated hereby and thereby; and
