(a) Metroplex shall enter into a Physician Owner Employment Agreement (herein so called) with each of the Physician Owners for a minimum term of five years; which Physician Owner Employment Agreement shall be subject to review and consultation by Texas Sub prior to their execution and delivery. Metroplex shall not take any action that would cause it to be in breach of any Physician Owner Employment Agreement.
