Common use of Xxxxx Counsel Clause in Contracts

Xxxxx Counsel. Any legal counsel engaged by the Company shall not be deemed, by virtue of such representation, also to be representing the Members, partners, or Affiliates of the Company. Such Law Firm will undertake no professional responsibility to such Members, partners, shareholders or Affiliates, and any such person who develops an individual interest or need for legal services in connection with any Legal Matter must engage at his, her or its own expense, separate legal counsel (other than the legal counsel retained by the Company) for such representation. No Member shall use the fact of legal counsel’s representation of the Company in any legal matter as a basis to object to, or otherwise seek disqualification of, such legal counsel’s representation or appearance on behalf of the Company in any other present or future legal matter.
